Dates and scope
The Companies (Striking Off) Regulations 2015 were made on 21 December, published on 31 December 2015 and commenced on 3 January 2016. This is the original instrument under Companies Act section 411. Its section references and conditions are described as that version, not as a consolidated statement of current law.
Grounds and three concurrent conditions
For a company’s section 344A(1) application, the Registrar may strike it off for never starting or having ceased business or operations. It must have no ongoing or pending civil/criminal court proceedings in Singapore or elsewhere; no assets, contingent assets, liabilities or contingent liabilities; and no ongoing or pending regulatory action or disciplinary proceedings. A dormant description does not dispense with these separate conditions.
Defined regulatory and disciplinary matters
Regulatory action covers a statutory regulator’s action for breaches of conditions attached to a licence, registration, permit, permission, approval, consent or other legislative authorisation. Disciplinary proceedings are statutory professional-body proceedings for misconduct. The defined profession has legally prescribed qualifications and recorded/registered membership; the professional body maintains statutory conduct standards.
Objections: timing, form and evidence
A person has 60 days after the first Gazette publication of the intention notice under 344A(4) to show why removal should not occur. A 344C(2) objection uses the section 12A electronic-system form or another accepted form. The Registrar must consider the reasons, attached supporting documents/information and subsequent material supplied on request.
All four administrative-restoration conditions
For section 344D(1) restoration of a company removed under section 344, the company must have been operating or carrying on business when removed. If property vested in the Official Receiver under 346, written consent is required. All documents needed to update records must be lodged or subject to an acceptable undertaking. Outstanding statutory fees or penalties payable then by the company, former directors or both must be paid, caused to be paid, or covered by an acceptable undertaking. Time of striking off means the actual section 344 removal time.
