LLP Striking-Off and Administrative Restoration: The 2015 Regulations

S 843/2015 specifies cessation grounds, three eligibility conditions, a 60-day objection window and four restoration conditions.

Identity and commencement

The Limited Liability Partnerships (Striking Off) Regulations 2015 were made on 21 December 2015, published on 31 December and commenced on 3 January 2016. This article follows that original four-page instrument and its references to the LLP Act, not a consolidated current version.

Grounds and all three conditions

For an LLP’s own application under section 38A(1), the Registrar may strike it off if it has never begun business or operations, or has ceased them. It must also have no ongoing or pending civil or criminal court proceedings in Singapore or abroad; no assets, contingent assets, liabilities or contingent liabilities; and no ongoing or pending regulatory action or disciplinary proceedings. The existence of a contingent item matters even if no immediate payment is due.

Regulatory and professional proceedings

Regulatory action means action by a statutory supervisor or authority for breaching conditions of a licence, registration, permit, permission, approval, consent or other legislative authorisation. Disciplinary proceedings concern statutory professional bodies acting against professional misconduct. A profession here requires prescribed qualifications and registered or recorded practitioners, and its professional body is responsible under written law for conduct standards.

The 60-day period and objection route

Under section 38A(4)(b), a person has 60 days after the notice date to show why the Registrar should not strike the LLP off. The date is the first Gazette publication of the intention notice, not the date someone opens it. A section 38C objection uses the section 41 electronic-system form or another form the Registrar accepts. In deciding it, the Registrar must consider the reasons, supporting documents and information, plus material supplied in response to further requests.

All four administrative-restoration conditions

An application under section 38D(1) to restore an LLP struck off under section 38 is permitted only if it was carrying on business or operating at the time of striking off; the Official Receiver consents in writing where its property vested in the Receiver under Fifth Schedule paragraph 99; all documents needed to update the register have been lodged or an acceptable undertaking given; and outstanding statutory fees or penalties payable then by the LLP, former partners or former managers have been paid, caused to be paid, or covered by an acceptable undertaking. The relevant time is when its name was actually removed under section 38.
