Cycle and historical framework
Practice Guidance No. 1 of 2014 concerns years ending 1 January–31 December 2013, reviewed from 1 April 2014 to 31 May 2015. It references Practice Direction No. 2 of 2014 for FRSP and director duties. Accounting Standards include SFRS, SFRS for Small Entities and Charities Accounting Standards as then issued. Eight focus areas are general guidance, not an exhaustive set of requirements or a limit on ACRA’s review.
New and forthcoming standards
FRS 113 applies to years beginning on or after 1 January 2013, introducing a single fair-value framework and disclosures. Significant fair-valued investment property warrants hierarchy and, where applicable, recurring Level 3 disclosures. The next-year suite FRS 110, 111, 112, 27 and 28 changes consolidation scope and joint-venture accounting. Understand its implications early and make meaningful FY2013 disclosures of standards issued but not yet effective.
Significant accounting policies
Policies must cover all material items, explain actual business practices, activities and operations meaningfully, and reflect transaction substance. Copying general standard language without explaining the company’s practices is insufficient for understanding the statements.
Going concern and debt classification
Use realistic future assumptions, especially with continuing losses or changing conditions. If going concern remains appropriate despite material uncertainty, disclose both the uncertainty and why directors still adopt that basis. Review refinancing of maturing debt, continuing covenant compliance, and current/non-current classification of assets and liabilities.
Judgements and estimation uncertainty
Material uncollectible receivables, obsolete or slow stock, uncertain taxes, contingent liabilities and impairment may need specific judgement and uncertainty disclosures. Avoid boilerplate. Explain sensitivity to methods, assumptions and estimates, expected resolution and reasonably possible next-year outcomes for affected carrying amounts, according to the company’s circumstances.
Asset recoverability and four disclosure checks
Challenge goodwill, other intangibles and property/plant/equipment values and impairment assumptions, particularly where prior forecasts failed. Disclose causes of each material impairment or reversal; perform an impairment test when net assets exceed market capitalisation; identify and disclose significant judgements and estimates in material-asset tests; and for value in use, describe each key cash-flow assumption and management’s approach to assigning values.
Financial risks and capital management
Explain the significance of financial instruments and the nature, extent and management of exposures in practice. Reassess disclosures when risks become more material, instead of repeating old policies and processes. Consider whether quantitative figures represent conditions throughout the year; supplement them with representative information when year-end data does not.
Related-party relationships and terms
FRS 24 disclosures should clearly identify the relationship and specific terms and conditions for each transaction type and outstanding balance. These details help users assess related-party effects on performance and position, beyond merely listing an aggregate amount.
Consolidation and comparable information
A company with one or more subsidiaries must prepare consolidated statements unless the FRS 27 exemption criteria are met. Impracticability or costs outweighing benefits are not those exemptions. Comparative information must likewise be consolidated. Directors should seek professional assistance where uncertain; none of these focus areas substitutes for the full standards.
