Non-Profit Company Applications: Holding Land, Omitting Limited and Altering the Constitution

The two-page PDF covers three distinct approvals: a licence to hold land for specified non-profit companies, permission to omit Limited or Berhad, and consent to alter a constitution subject to a restriction. It specifies the forms and two non-refundable S$200 application fees.

When a company needs a licence before acquiring land

A company formed for recreation, amusement or promoting commerce, industry, art, science, religion or a similar object not involving gain for itself or individual members must seek the Minister’s approval through ACRA before acquiring land. This is the land-licence provision described in the PDF, distinct from permission to omit a name suffix.

Land-licence form and fee

Complete the section 23 application form and attach it to the transaction filed in Bizfile+, as described in this source version. The stated fee is S$200 and is non-refundable. The PDF does not state that payment itself authorises the land acquisition.

Conditions for omitting Limited or Berhad

A proposed or existing limited company can apply if it is formed for a community-useful object such as recreation, commerce, industry, art, science, religion, charity, pension or superannuation schemes; has a basis of national or general public interest; and has the financial capacity to carry out its objects. Its constitution must require profits and other income to be applied to those objects and prohibit dividends to members. These conditions are cumulative rather than a menu of alternatives.

Charity exception, form and fee

A limited company registered as a charity under the Charities Act does not require the Registrar’s approval to omit Limited or Berhad. Other qualifying applicants use the section 29(1)/(2) form, attach it to the Bizfile+ transaction and pay the stated non-refundable S$200 fee. The exception concerns the name-omission approval; it should not be expanded to every other application in the PDF.

Altering a constitution subject to consent

A company already approved to omit Limited or Berhad may be directed to include a constitutional provision prohibiting alteration without the Minister’s consent. Where that restriction applies, it can seek consent under section 29(4) to alter a provision by special resolution, using the section 29(4) application form as a Bizfile+ attachment. The PDF gives no application fee for this third procedure, so the S$200 amounts for the first two should not be silently carried over.
