Notice of Alteration in Share Capital: Bizfile Filing Guide (2026)

The April 2026 guide covers section 71 alterations and their resulting company and shareholder records. It separates this notice from new-share allotment and resolution filing, and explains currencies, shareholder groups, review and confirmation.

Service scope and the right filing route

Updated on 20 April 2026, the twenty-page guide describes notifying ACRA of an alteration and reflecting resulting capital and shareholding changes. Its screenshot specifically directs new-share issues to Allotment of shares, and a resolution copy under section 186 to Notice of Resolution. This notice should not be treated as automatically fulfilling either separate filing. All screenshot identity details and values are dummy illustrations; their sample capital changes are not independent proof that a chosen alteration is legally valid.

Login, entity selection and alteration particulars

Login with Corppass Business User credentials, confirm the top-bar and dashboard entity names and position-holder indicator, then use Manage and Update shares information. Select Notice of alteration in share capital and start a new transaction or continue an existing draft. Verify the entity, select the nature of alteration under 71(1), and answer whether general-meeting approval has been obtained. The guide does not display the whole nature dropdown or prescribe what happens after every possible answer; a sample No selection should not be read as exemption from approval requirements.

Update company capital by currency and class

Select the affected currency and save, then enter the post-alteration share capital and share count for each affected class and save again. The screenshots distinguish number of shares, issued capital and paid-up capital. Expand all and use Edit to correct a saved currency entry. Add other currencies with Update other currency, completing and saving their information, then continue. These fields should reflect the actual alteration; changing a share count is not necessarily the same operation as changing paid-up amounts alone.

Shareholders, groups and individual holdings

In Shareholders and group shares, use Add new shareholder where needed, or proceed if no new holder is required. Add/edit group handles a new or existing shareholder group. In Shareholding details choose Update individual/corporate shares, select the shareholder and save, then update that holder’s post-alteration share count and currency and save. Use Update other individual/corporate shareholder for another holder and Edit on the currency accordion to correct existing details. A group is a separate record-management feature; the guide does not equate it with a corporate shareholder or controller.

Review the affected records before declaring

The share summary shows affected class and currency totals, then Next opens Review and confirm. Check entity, approval answer, alteration nature, company capital before and after, and each affected shareholder’s holdings before and after. Tick the authorised-filer and true-and-correct declaration, noting liability for false or misleading information, and Submit after verification. The example describes consolidation and division, but its dummy 900-to 800 figures are not a general calculation formula or authority to reduce capital through any chosen label.

Acknowledgement and updated-record notification

Successful submission gives an acknowledgement. The guide then says a Bizfile Inbox notification confirms successful submission and updated share information. Retain the transaction evidence and check it identifies the intended company. Saving a draft or individual section is not the final submission. The PDF supplies no statutory deadline, fee, payment sequence, mandatory attachment or complete approval law, so those should not be added from general assumptions about capital transactions.
