Access and service scope
The service notifies ACRA of cancellation or disposal of treasury shares and records the resulting capital and shareholding changes. The guide was updated on 20 April 2026 and all screenshot identities and values are dummy data. Log in with Corppass Business User credentials, verify the entity dashboard and position-holder indicator, and select Manage, Update shares information, then Notice of cancellation or disposal of treasury shares. Start a new transaction or continue an existing draft.
Five transaction categories and their dates
Choose the actual category and provide its quantity and date: sale for cash requires shares sold and sale date; an employee share-scheme transfer requires shares transferred and transfer date; a transfer as consideration for acquiring another company’s shares or assets, or a person’s assets, also requires quantity and transfer date. Cancellation requires shares cancelled and cancellation date. The fifth category covers shares sold, transferred or otherwise used for purposes prescribed by a Minister’s order and requires the relevant quantity and event date. This category is tied to the prescribed purpose, rather than being an unrestricted miscellaneous option.
Capital, currencies and the aggregate-holding confirmation
Select the affected currency and update ordinary and treasury share numbers, issued capital and paid-up capital after the cancellation or disposal. Save the record, and use Expand all and Edit for changes or Update other currency for another affected currency. The checkbox confirms that shares held by subsidiaries under section 21(4A) or (6B) and treasury shares held under section 76H together do not exceed 10% of shares in the same class; it also states that excess shares, if any, are to be disposed of or cancelled under section 76K. Check the actual aggregate before making this confirmation.
New shareholders and shareholder groups
Next opens Shareholders and group shares. Add a new shareholder if the disposal creates one, and use Add/edit group for a new or existing shareholder group. If no change is required here, continue to Shareholding details. The guide treats this step separately from updating the company’s capital and from entering the holdings of selected shareholders; completing one screen does not automatically complete all resulting records.
Holdings, trust names and multiple currencies
In Shareholding details, use Update individual/corporate shares, select a holder and Save. Enter the affected currency, post-transaction shares and paid-up capital, then Save. Add shares held in trust where relevant and update the trust name. Update other currency handles further currencies for the same holder; Update other individual/corporate shareholder handles another holder. Existing records can be corrected with Edit on the currency accordion. Check the share summary after all relevant records are entered.
Review, declaration and acknowledgement
Review the company, transaction types, quantities and dates, capital before and after, and shareholder holdings before and after. Tick the declaration of truthful information and authority to file, which also warns of prosecution for false or misleading information, then Submit. Successful submission produces an acknowledgement and a Bizfile Inbox confirmation that share information was updated. The example review uses dummy figures and is not a capital-reconciliation formula. The PDF does not specify a fee or filing deadline.
