Scope and selecting the transaction
Updated on 20 April 2026, this twenty-two-page guide describes Notice of purchase or acquisition of ordinary/preference shares/stocks. Log in as a Corppass Business User, check the entity name and position-holder information, and choose Manage, Update shares information and this notice. Start a new transaction or continue a saved draft. The reminders direct capital reductions to their own service, shareholder particulars to Update Shareholder Information, and other transactions such as redenomination or conversion to General Lodgement. For private companies, the guide states that changes such as allotments and transfers take effect after ACRA updates the Electronic Register of Members on the lodgement date.
Ordinary shares and stocks: purchase information
Verify the company information and select the purchase or acquisition type, relevant class, effective date and statutory provision. For ordinary shares or stocks, enter the quantity purchased or acquired, quantity cancelled, currency and total consideration, including stamp duty and other costs. Identify whether capital, profits or both funded the transaction and enter the corresponding capital and profit amounts, each including applicable stamp duty and costs. The screenshots use dummy values and a sample section 76C selection; they do not establish that this provision or those values apply to every purchase.
Preference shares: distinguish the affected classes
The preference-share branch distinguishes redeemable and non-redeemable preference shares. Enter the number of each relevant class purchased or acquired and cancelled, together with the effective date, provision, currency and consideration including stamp duty and other costs. As in the ordinary-share branch, specify capital and/or profits and the amounts used from each. These fields distinguish a purchase or acquisition notice from the separate redemption service; the labels should be matched to the actual transaction rather than chosen merely because the shares are redeemable.
Resulting capital and treasury-share records
Update the number of shares, issued capital and paid-up capital after the transaction for the affected class and currency, then Save. Where ordinary shares are held in treasury, use Add treasury shares and enter their number and capital details. The ordinary-class totals include treasury shares. The screenshot also contains an acknowledgement that shares held by subsidiaries under section 21 and treasury shares under section 76H do not together exceed 10% of the total number in that class, and that excess shares, if any, will be disposed of or cancelled under section 76K. Verify this acknowledgement against the actual holdings rather than treating it as a routine tick-box.
Update each affected shareholder and trust holding
Proceed to Shareholding details and choose Update individual/corporate shares. Select the shareholder, save the selection, and update the shares and, where applicable, paid-up capital for the affected currency. Repeat for other affected holders and save each record. If shares are held in trust, use Add Shares held in trust and provide the trust name. Check the resulting share summary before continuing; company capital totals and individual or corporate holdings are separate records that both need to reflect the transaction.
Review, declaration and confirmation
Review the entity and transaction particulars, consideration and funding, and company capital and shareholder holdings before and after the change. The declaration confirms that information is true and correct to the filer’s knowledge and that the filer is authorised; it also warns of prosecution for false or misleading information. Submit only after verifying those statements. A successful submission produces an acknowledgement, followed by a Bizfile Inbox notification confirming successful submission and updated share information. Saving a draft is not this final submission. The guide’s completion screens do not provide a fee or a statutory filing deadline.
