The 2018 AGM and Annual Return Reform: Deadlines, Exemptions and Financial Year Changes

The eight-page source explains financial-year-end deadlines introduced on 31 August 2018, all member-request safeguards, and detailed examples distinguishing permitted year changes from changes requiring approval or barred by expired deadlines.

Historical change and old AGM rules

The new regime applies to financial years ending on or after 31 August 2018. Previously the first AGM was within 18 months of incorporation, later AGMs yearly with intervals at most 15 months, and accounts had to be made up to within four months of a listed AGM or six months for others. New listed AGMs are within four months after FYE and others within six. The diagram compares the old uncertain interval for a 30 June 2018 FYE with 31 December 2018 FYE yielding AGM by 30 June 2019 and AR by 31 July 2019 for an ordinary private company.

All AR categories and prerequisites

Previously companies with share capital and an overseas branch register filed within 60 days of AGM; others within 30 days. After reform the first category files within six months after FYE if listed or eight if unlisted; other companies within five if listed or seven if unlisted. Filing occurs only after AGM, after statements are sent where no AGM is needed, or after FYE for an exempt private dormant relevant company not preparing statements. The branch-register category must not be merged into ordinary five/seven-month deadlines.

Notify FYE and observe all change limits

Notify FYE on incorporation and every change. Registrar approval is needed if a change creates a year longer than 18 months or the FYE changed within the preceding five years. The first year cannot exceed 18 months without approval. Only current and immediately previous years can be changed and only before relevant AGM, AR and statement-sending deadlines pass. Periods starting on/after 31 August 2018 default to twelve months. Notify unusual periods such as 52 weeks through the FYE-change route to avoid repeated annual approval requests.

Deemed FYE and all introductory examples

For pre 31 August 2018 companies, the anniversary of the previously notified FYE is deemed the next year end; without notification it is the incorporation anniversary. A previously filed 31 March 2018 date becomes 31 March 2019. A 1 January 2018 incorporation without an AR is deemed 1 January 2019. A new 1 January 2019 company must notify at incorporation. An existing company wanting another date uses Change of Financial Year End. These are the source’s transitional examples, not a current instruction to reset every older company.

Changes before and after commencement: examples 1–3

Example 1 changes deemed 31 March 2019 to 30 April 2019 on 31 July 2018, before the law, so that change does not count toward approval when a further change to 1 February 2021 is proposed on 31 December 2020. Example 2 makes the first change on 31 January 2019 instead; its 31 December 2020 second request needs approval within five years of 30 April 2019. Example 3 moves 31 March 2020 to 31 December 2020 on 31 January 2020: approval is required because 1 April 2019–31 December 2020 exceeds 18 months. The same proposed date can therefore have a different outcome because timing/history differs.

Barred changes: examples 4–5

Example 4 attempts on 10 November 2025 to change FY2022 from 31 March 2022 to 31 December 2022 and is barred because only current/previous years may change. Example 5 attempts on 1 December 2020 to change the source’s 31 March 2019 date to 31 December 2020 after stating next FYE 31 March 2020; the source bars it because relevant current-year deadlines have passed. Its wording mixes the earlier and next dates, so the reliable lesson is the expired-deadline restriction rather than inventing a corrected example. Approval for long periods does not revive a change already barred by these conditions.

AGM exemption and the two different fourteen-day clocks

A private company sending statements within five months after FYE is exempt, subject to safeguards. A member requests AGM no later than fourteen days before the last day of the sixth month; directors then hold it within six months, with an extension application possible. Separately, a member or auditor requests a meeting to lay statements no later than fourteen days after statements are sent; directors hold that meeting within fourteen days after the request. Request deadlines and meeting deadlines have different triggers and cannot be collapsed into a single fourteen-day rule.

Dormant exemption and unanimous dispensation

A private dormant relevant company exempt from preparation need not hold AGM, subject to safeguards. The source describes private/dormant, not listed or a listed subsidiary, and assets at most S$500,000, consolidated if ultimate parent. All-member resolution dispensation remains possible. Before the reform AR was within 30 days of sending statements or passing all written resolutions, whichever later; afterwards seven months after FYE. Member requests move from three months before year-end to fourteen days before sixth-month end. If dispensation ceases, the old test was three months of the year remaining; the new test is three months until AGM due date.

AGM after an AR was filed

A company sending statements within five months may proceed to AR filing. If a subsequent valid member request results in an AGM after filing, notify the Registrar of the actual AGM date within fourteen days. The rule is a further event notification, not permission to disregard the member request because AR is already complete. The PDF closes by referring to its separate FAQ, which is not reproduced in the eight pages.
