Commencement of the amendments
The infographic states that the Companies and Limited Liability Partnerships (Miscellaneous Amendments) Act took effect on 16 June 2025. It focuses on three changes rather than reproducing the entire legislation: controllers, nominee registers and penalties.
RORC is required from incorporation or registration
Unless exempt, newly incorporated companies, newly registered foreign companies and LLPs must establish and maintain a Register of Registrable Controllers from incorporation or registration. The key point is the starting date: maintaining the register is part of the entity’s initial obligations, rather than something first addressed much later in its life.
Private nominee registers must also be centrally filed
Local and foreign companies, unless exempt, must file information from their private Registers of Nominee Directors and Nominee Shareholders with ACRA’s corresponding Central Registers. The infographic called for this by 31 December 2025. As this article is read after that date, it is described as the deadline specified in the original implementation notice; it is not reset as a new filing deadline.
Nominee status and nominator details have different access rules
The nominee status of directors and shareholders is publicly available according to the infographic. Particulars of nominators held in the Central Registers are accessible only to law-enforcement agencies. Public nominee status therefore does not mean all information about the nominator is public.
Penalties and the linked detailed guidance
Failing to keep the required registers and file information with ACRA may lead to prosecution and fines up to S$25,000. The infographic points to separate ACRA guidance at go.gov.sg/acra-filing-rorc for RORC, go.gov.sg/acra-ndns for nominee registers and go.gov.sg/acra-csp-cllpma-act for the wider legislation. It does not set out the exemption categories or detailed filing steps, so those should be read in the linked guidance rather than guessed from the image.
