Auditor Resignation from Public Interest Companies: Consent and Replacement Duties

Practice Direction 4 of 2015, updated in July 2023, sets out consent for premature resignation by auditors of public interest companies and their subsidiaries, when resignation takes effect, shareholder notices and the company’s replacement-auditor obligations.

Source checked · 11 October 2026 Historical document

Scope: premature resignation and public interest

The direction applies from 1 July 2015 to resignation before the appointed term ends. It covers public interest companies and their subsidiaries. The source lists companies listed or preparing to list on a Singapore or overseas exchange, selected banking/payment, insurance and capital-markets institutions, and large charities or institutions of public character that are companies; the full statutory list is in the Companies Regulations.

Auditor application and simultaneous company notice

An auditor wishing to leave early applies for ACRA’s consent under section 205AB and provides written reasons. At the same time, notify the company in writing of the application and give it the written reasons. The mechanism protects companies from being left without an auditor while allowing consideration of genuine reasons to leave.

Resignation takes effect on the latest applicable date

Section 205AB(5) makes the effective date the latest of the day ACRA informs the auditor and company of its consent, the day fixed by ACRA, and the day specified by the auditor in the resignation notice. Giving notice alone does not necessarily end the appointment on the auditor’s chosen day.

Shareholder circulation and replacement timetable

The company sends the reasons statement to all shareholders within 14 days after receiving the resignation notice and written reasons. Directors must call a general meeting to appoint a replacement within three months from resignation and notify ACRA of the new appointment within 14 days of appointment. These company duties are separate from the auditor’s consent application.

Circumstances ACRA may consider exceptional

Approval is generally associated with exceptional circumstances making a competent audit impossible or continued appointment impractical or inappropriate. The examples are a sole-practitioner auditor’s failing health, loss of independence and a change required by a parent entity audited by another auditor. They illustrate the assessment rather than guaranteeing approval.

Disputes and audit-integrity concerns must be disclosed

The application should identify disputes with management and matters undermining independence or integrity, including opinion shopping or pressure to act unethically or breach audit standards. Put forward all relevant factors: ACRA can consider circumstances outside the examples and grant or refuse on terms appropriate to the individual case.

Form, evidence and stated response target

Use the consent-to-resign application under section 205AB and attach relevant evidence. ACRA may request further information from the auditor or company. The PDF states an endeavour to notify both parties within two weeks after all information has been provided; that is a response target, not a guarantee measured from an incomplete initial submission. The direction was issued on 27 May 2015 and updated on 1 July 2023.
