Historical setting and directors’ role
The guidance responds to the eurozone debt crisis and uncertainty affecting business outlook and asset fair values. It reminds directors of Companies Act duties to present SFRS-compliant, true and fair financial statements at the AGM and notes fine or imprisonment consequences under section 204(1) upon conviction. References to the Accounting Standards Council and more than 30 SFRS describe 2012, not a current institutional inventory.
SFRS 1: accruals, going concern and estimates
Recognise transactions on an accrual basis when incurred rather than when paid. Assess whether going concern is appropriate and disclose material uncertainties adequately. Test whether critical estimates, assumptions and management judgements remain reasonable in the uncertain environment.
SFRS 10: distinguish adjusting events from disclosure
Significant events after year-end that relate to conditions existing at year-end and affect recognised amounts require appropriate adjustment. Other significant events indicating later-arising conditions, or year-end conditions not affecting recognised amounts, need adequate disclosure. The source distinguishes adjustment and disclosure rather than treating all later events alike.
SFRS 36: impairment and recoverable amounts
Consider the likelihood of impairment. Where an impairment indication exists, ensure management computes the asset’s recoverable amount and impairment loss appropriately. The source calls for reviewing the assessment and measurement, not an automatic write-off of every asset in a downturn.
SFRS 37: provisions and contingent liabilities
Assess risks and uncertainties in events and circumstances affecting provisions, and adequately disclose contingent liabilities. Directors should question the assumptions behind recognised provisions and what remains contingent rather than assuming disclosure alone resolves measurement questions.
SFRS 39: financial assets in the historical framework
Check whether financial-asset carrying values at amortised cost or fair value are appropriate at year-end in the uncertain environment. Assess objective evidence of impairment and whether any impairment loss is adequately computed at that date. This is the 2012 SFRS 39 guidance; the article does not silently substitute a later financial-instrument standard or model.
Early discussions and the guidance’s limits
Directors should consider shareholders’ information needs and engage early with finance staff and external auditors before AGM presentation. The source is not a summary of every SFRS requirement: directors must consult the full standards. Its disclaimer says it is guidance for review and approval, not ACRA rules or a substitute for reporting standards.
