Revising Defective Financial Statements under Sections 202A and 202B under Sections 202A and 202B

ACRA’s guidance explains voluntary revision and the Registrar’s court route, the original-date accounting basis, new directors’ statements, audit and circulation requirements, thirty-day filing and relief applications.

Scope and the 2018 framework

Sections 202A and 202B and the accompanying 2018 Regulations took effect on 20 April 2018. This guidance concerns companies as defined in the Companies Act, not foreign companies incorporated outside Singapore. Financial statements include, where applicable, consolidated statements, the profit-and-loss account and balance sheet. Directors may revise any financial year, but only non-compliant aspects and necessary consequential revisions. Section 202A permits voluntary correction; section 202B gives the Registrar a complementary court route alongside enforcement for defective reporting.

When voluntary revision is available

Revision is available when directors consider the statements non-compliant. Where the AGM is dispensed with under section 175A, the original statements must already have been sent to members; otherwise they must already have been laid at an AGM. If revision occurs after sending or laying but before filing the original statements, the company must still file the originals as usual and separately notify the revised statements. A prior-year comparative adjustment in later accounts does not itself settle whether to revise the earlier accounts: consider quantitative and qualitative materiality, public interest and the likelihood of reliance on the defective public document.

Registrar notice and the court process

The section 202B flowchart begins when the Registrar considers that reporting may be non-compliant. A notice identifies the issues and response timeline. Directors may explain why they do not propose revision or propose how to revise. A satisfactory explanation leads to no further action under this flow; an agreed proposal leads to voluntary revision under section 202A. No response, an unsatisfactory explanation or disagreement about the proposal may lead to a court application. The court may declare non-compliance and direct revision, auditing, consequential changes to other documents and steps to alert people likely to rely on the original statements.

Keep the original accounting basis and subsequent-event boundary

Use the accounting standards and accounting-policy choices applied to the original statements. The guide’s historical examples prohibit using revision of 2017 accounts to early-adopt FRS 116 instead of FRS 17, or changing investment property from cost to fair value while correcting an unrelated revenue error. Revised statements are treated as prepared on the original statement date, although dated when directors approve the revision. Adjusting and non-adjusting events between the original date and revision date are not brought into these revised statements. Revision therefore corrects the original reporting position rather than producing newly updated accounts.

Prominent disclosures in the revised statements

Prominently identify the financial year and state that the revision replaces the original statements for that year. State that the statements are treated as prepared at the original date and exclude subsequent events. Explain which aspects appeared to the directors to breach the Act and identify material revisions. Record directors’ approval and its date. These requirements distinguish the approval date of the new document from the original date used as the accounting reference point; both dates matter and should not be conflated.

New directors’ statement and signatures

The original directors’ statement cannot simply accompany the revised accounts: a new statement is required, signed on behalf of the directors at revision by two of those directors. Name directors then in office and every person who served between the original statement date and revision, including appointment and resignation dates. Include the applicable Twelfth Schedule information specified in paragraphs 2,3,4,5,6,8 and 9. Prominently state the approval date, replacement of the original statement, compliance with the Regulations and treatment as prepared on the original directors’ statement date without later events.

Directors’ opinions and pre-July 2015 statements

Directors must opine on whether revised accounts give a true and fair view of company and, where applicable, group position and performance for the original period. Their debt-payment opinion concerns whether reasonable grounds existed at the original directors’ statement date to believe debts could be paid when due, not a newly substituted solvency date. For original accounts issued before 1 July 2015, provide both a new directors’ report and a new statement by directors, consistent with the former framework, and place the revision disclosures in those documents. Date the new statement when the revised accounts are approved.

Audit exemption is reassessed using the revised accounts

The revised statements must be audited unless the company qualifies for exemption under section 205B or 205C on the basis of the revised figures. Original audit exemption does not automatically carry over. A former auditor may audit the revision although no longer current auditor if directors resolve that the former auditor will audit and report to members, that auditor agrees, and remains qualified. The new or amended report refers to directors’ explanation of defects and material revisions and gives an opinion on compliance viewed at the original statement date.

Sending full accounts and laying at the next meeting

Directors must take reasonable steps to send revised statements with the new directors’ statement and applicable amended audit report within 30 days of revision to original recipients, including recipients of summaries, and everyone entitled to general-meeting notice at revision. Send copies within 30 days of a request to a member not already sent them or a debenture holder. A summary is insufficient. No special meeting need be convened solely for revision, but the documents must be laid at the next general meeting, including an EGM that occurs before the next AGM. Publish the revision at least on the company website and, for SGX-listed companies, SGXNET.

Thirty-day filing and the exempt-private-company exception

File revised accounts, the new directors’ statement and the amended audit report where applicable within 30 days of revision. A solvent exempt private company need not file unless it voluntarily filed the original defective accounts. The guide’s historical BizFile+ route is Notice of Error, Notification of revised Financial Statements. Originals remain available: the original annual return is tagged with a reference to the correction transaction. Revised accounts replace originals as the operative company or group financial statements, but revision does not erase the publicly available original record.

Relief applications do not automatically carry forward

Relief previously granted under section 201(12), formerly 201(14), or section 202 does not automatically apply to revised accounts and the new statement. New applications are required. The guidance lists relief for additional disclosures under regulation 6(1), the new statement under 6(2), circulation time under 7(1)(a), laying at the next meeting under 7(1)(c), filing time under 13(1), accounting-standard exemption under 8, and other form/content requirements under 9. Its submission channel is completed application forms emailed to ACRA_FROU_Applications@acra.gov.sg. These are application routes, not automatic waivers.

What the appendices illustrate

The disclosure example changes acquisition consideration from the face value to the fair value of a non-convertible bond. In $’000, intangible assets change from 103,283 to 54,071 and accumulated profits from 494,584 to 445,372 after a 49,212 reduction. Profit before tax changes from 56,650 to 7,438, while the original negative 49,212 bond-gain cash-flow adjustment is reversed to zero. These are illustrative reconciliations, not standard adjustments for every revision. The sample new statement traces directors who remain, resign or join during the interval and uses two directors in office at revision as signatories; this illustrates why movement dates and current signature authority are both required.
