The 2018 Company-Law Changes: A Guide for Corporate Service Providers

The four-page CSP briefing explains the financial-year-end deadlines and AGM exceptions introduced in 2018, alongside earlier ownership-register and common-seal reforms.

Historical application

Parliament passed the Companies (Amendment) Bill in March 2017. The briefing describes burden-reducing amendments taking effect on 31 August 2018 for financial years ending on or after that date, then separately explains reforms effective in 2017. Its BizFile+ and mobile-app descriptions are historical service instructions.

Private-company AGM exemption and requests

A private company need not hold an AGM if financial statements reach members within five months of year-end. An AGM is still needed if a shareholder requests one no later than 14 days before the sixth month ends. A general meeting to lay the statements is needed if a shareholder or auditor requests it no later than 14 days after they were sent. The two requests have different purposes and clock-starts.

Year-end deadlines and filing preconditions

Listed companies hold AGM within four months and file annual return within five months of year-end; other companies use six and seven months respectively. A return can be filed only after AGM where required, after sending statements where no AGM is required, or after year-end for a dormant private relevant company exempt from preparing statements. Meeting exemption does not remove the relevant filing sequence.

Changing the financial year-end

Notify the Registrar at incorporation and on every later change. Without approval the incorporation-year financial year cannot exceed 18 months. Approval is required if a change creates a year longer than 18 months or the year-end was changed in the preceding five years. For pre-31 August 2018 companies, the deemed year-end is the anniversary of the last notified date through annual return/change transaction; without prior notification it is the incorporation-date anniversary.

Simplified annual returns

Solvent EPCs and dormant private relevant companies qualify if they are not preparing audited statements and are not required to file statements with ACRA. The same AGM, statement-sending or exempt dormant-year-end filing preconditions apply. From 31 August 2018 they could choose simplified filing in BizFile+; only appointed company officers could use ACRA on the Go. The briefing states a S$60 fee. These portal and fee references belong to the source period.

Controllers and nominee directors

Unless statutorily exempt, companies, foreign companies and LLPs must keep registrable-controller registers; companies also keep nominee-director registers. Information must be available to the Registrar and public agencies on request. An appointed secretary or CSP for this purpose should ensure notices seek controller existence/particulars and record responses. The entity is not liable merely because recipients do not respond or respond inaccurately; its own duties remain.

RFA information and foreign-company members

No notice is needed where an RFA has already supplied the required controller particulars on the controller’s behalf. Due-diligence beneficial-owner information may be passed to the entity with the owner’s consent and entered in the register. Foreign companies also keep a public member register, by default at the registered office, with names and addresses; the briefing refers to a 30/60-day transitional grace period but does not specify which category takes which period. An appointed CSP should ensure compliance.

Executing documents without a common seal

The reform is an option; companies may retain seals where business needs warrant. A company may execute through director plus secretary, two directors, or one director signing before an attesting witness. An LLP uses two partners, or one partner before an attesting witness. The company and LLP combinations differ and should not be mixed.
