Companies Act Administrative Reforms: Records, Addresses, Registers, Constitutions and Restoration

The nine-page historical comparison covers seven administrative reforms, with distinct retention periods, alternate-address safeguards, real-time ownership updates and limits on administrative restoration.

Five-year statement records

The historical table introduces section 201AA: keep AGM documents for at least five years after the meeting; if AGM is dispensed with, retain financial/consolidated statements and the parent balance sheet. Keep any auditor report sent to persons entitled to meeting notice for five years after statements were sent. The Registrar or authorised officer can require production. Noncompliance is a criminal offence of company and officers. This supplements the existing five-year accounting-record duty and permits verification of filed information.

Old bearer warrants and company liability

Section 66 gives holders of warrants issued before 29 December 1967 two years after commencement to surrender them for cancellation and member-register entry. Companies remain responsible for losses from registering without surrender/cancellation, and cancel unaccounted-for warrants at expiry. Ending the forty-year-plus transition prevents untracked bearer equity transfers; this is a specific historical warrant category.

Alternate addresses and continuing residential reporting

Directors, CEOs and secretaries may disclose alternates but still report residences and changes, unless changes were reported to the National Registration Office. An alternate must permit locating the person, be in the residence jurisdiction, not a post-office address and not the residence itself. If unlocatable, ACRA can investigate and after due process replace it publicly with the residence; criminal sanctions may apply and no new alternate is permitted for three years. Old extracts retain historical residential addresses. The source describes the former alternate-address regime, not retroactive erasure.

Private-company member registers and retention

ACRA electronic member registers are public except gazetted EPC registers, and free for the company to inspect. Ownership, allotment, transfer and paid-up changes are registered in real time; registration dates become entry dates. Old registers containing precommencement information must remain until seven years after the last member on that register ceases membership. That clock is triggered by membership cessation, not reform commencement.

Officer registers and manager migration

For all companies ACRA replaces physical director, manager/CEO, secretary and auditor registers. Report particulars and changes within fourteen days. Manager is replaced by a substantially identical CEO definition, so existing registered managers and particulars migrate automatically unless a change is filed. Officer fourteen-day updates differ from real-time member updates.

Constitution merger and model options

Memorandum and articles are deemed one constitution without existing companies taking action or incurring merger costs. New applicants lodge a constitution, or identify an unamended model title without lodging its text. Adopt the model fixed at registration or the version in force from time to time; the latter avoids repeated amendments when the model changes. The no-text route does not extend to a modified model.

Strike-off and restoration boundaries

The historical comparison distinguishes company-requested and Registrar-initiated strike-off, with similar notification and publication procedures. Its new show-cause period falls from three months to sixty days, and court-restoration time from fifteen years to six. Administrative restoration within six years after dissolution is limited to Registrar-initiated cases where no court appeal has been made. Correction of the Registrar’s own mistake excludes mistakes based on wrong, false or misleading information supplied by the applicant. The old column’s initial one-month response and later three-month Gazette stage are separate from the new sixty-day period. The reforms aim to retain reasonable objection time while reducing restoration cost.
