Historical representatives and financial reporting changes
Section 368 reduces at least two locally resident agents to one authorised representative. A sole representative resigns only after replacement; death requires replacement within 21 days. The renamed role emphasises accountability. Section 373 broadens financial statements to local-comparable components; home-law standards must be similar to SFRS or Registrar-acceptable, otherwise use SFRS. The document is a historical comparison rather than every current filing requirement.
Auditor naming and liability: preserve the mental element
File the auditor’s name for Singapore branch accounts and company statements. The old general fine was up to S$1,000plus default penalty; the new reporting row states up to S$50,000for company and knowingly/wilfully permitting directors/representatives. The specific 373(18)row includes directors or similarly responsible persons and representatives and uses knowingly OR wilfully wording, while the earlier row usesAND. Both source formulations are noted rather than silently merged into an invented liability test; consult the actual statutory text when applying liability.
Dormant branch audit and extension
Dormant-in-Singapore foreign companies can omit branch audit under 373(9)/(19), but branch accounts still filed. Section 373(10)permits applications to extend preparation and filing time, a fee may apply; neither guaranteed approval nor amount is provided. Audit relief is not preparation/filing relief.
Office display and document UEN
The exterior name/place-of-formation display requirement at registered/business premises is removed under 375. Separately 375(3)addsUEN on documents with 375(4)twelve-month transition. The comparison mentions local business letters, account statements, invoices, official notices/publications as the consistency background. Removal of a physical sign does not remove the distinctUEN documentation obligation. TheUEN row heading cites 368while its operative text cites 375; the operative references are retained.
Name rejection, change and Minister appeal
Section 378 allows rejection of names identical to existing registered/reserved business vehicles and directed changes for identical corporation/business names. The source expressly excludes mere similarity and Trade Marks Act injunction grounds from the described change power. Minister appeal is available. It is an identity-based administrative rule, not a general trademark-clearance decision or unrestricted power to reject anything resembling another name.
All notification and removal periods
Liquidation/dissolution notice changes from one month to fourteen days after liquidation commencement/dissolution respectively; the row heading says 372but operative text 377(2)(a). Branch-member-register location/changes moves 14to 30 days under 379(6)/(7), while business-cessation notice remains seven days under 377(1). Removal after lodging cessation changes 12 months to three. These clocks serve different actions; the shorter removal wait does not extend the seven-day filing duty.
Every new strike-off ground and legal effect
Existing no-business/place and unlawful/public-peace, welfare or good-order grounds remain. Three additions cover would-be sole resignation with no response/action for 12 months; no instructions within 12 months of a continuing-registration query; and no replacement for more than six months after sole-representative death. The 21-day appointment duty remains distinct from the six-month strike-off ground. Strike-off ends Singapore registration only, not the foreign company’s legal existence elsewhere. The reasons emphasise both reduced burden and access to reliable information for persons dealing with the company.
