Original version and register
Made on 29 April 2009, effective 4 May, the regulations implement the Limited Partnerships Act 2008. The Registrar controls the register’s manner/place. Electronic transaction forms belong to the Registry’s filing system. If no fixed/permanent business place exists, the usual contact location is deemed business place under section 2(2). Organisation names, statutes and fees in this article retain the 2009 version.
All nine prescribed-person categories
Section 23 persons include solicitors; ICPAS-registered accountants; AIA Singapore members; Institute of Company Accountants Singapore members; Singapore ICSA Association members; corporate secretarial agents; minister-approved service-bureau employees; authorised knowledgeable/experienced employees of firms employing the first six categories; and other minister-approved fit/proper persons. A secretarial agent operates secretary services and has three aggregate secretary years in the preceding continuous five; a bureau is Registrar-authorised. Employee authority alone is insufficient without knowledge/experience.
Forms, translations and identity
Use English unless otherwise required; paper forms are neat legible typed or ink block letters. Section 12(3) form is the system form. Follow electronic directions; Registrar may permit substantial compliance when strict compliance impracticable, modify/issue forms or reject non-compliance. Other lodged documents follow directions; non-English originals need an approved-person certified English translation and, if requested, evidence of translator competence. ID/passport or accepted identity evidence may be required.
Complete identical-name rules and mediation
Ignore initial The; listed entity words Private/Pte, Sendirian/Sdn, Limited/Ltd, Berhad/Bhd, LLP/LP long and short forms; plurals; letter type/case, accents, spacing, brackets and punctuation. At name end ignore company/and company, corporation, Incorporated, Asia, Asia Pacific, International, Singapore, South Asia, South East Asia and Worldwide, and Registrar-recognised equivalents, except where the corporation concerned is a general partner. Treat & as and. Registrar may refer name disputes to mediation before a section 17 direction. The entity-word rule here does not add an end-position qualification absent from the text.
Dissolution and death-related notices
Every general partner ensures at least one files section 19(2) dissolution notice. A deceased person’s representative or Registrar-approved person may lodge death-related section 18(1) changes subject to conditions. For death of the sole general partner, the representative/approved person can lodge 19(1) business cessation or 19(2) dissolution as applicable. These alternative notices describe different events.
Relevant investment LP definition and privacy
Limited-partner particulars/documents of a relevant LP are not publicly inspectable, supplied, extracted or certified under 22(1). The LP must primarily establish an investment fund managed by a general partner licensed/exempt under SFA99, or a similarly licensed manager validly appointed by a general partner. Advisory evaluation/recommendation counts even when general partners decide or approve investments. Non-investment business disqualifies unless solely incidental. This is not universal privacy for every LP.
The private register and authorised inspection
General partners keep a required-form register at registered principal business place. Individuals’ fields are full name, identification if any, nationality and usual residence; corporate fields are name, incorporation/registration place, registration number and registered office for communications. Partners and persons managing the LP may inspect in ordinary business hours. Public non-disclosure does not remove this internal record duty.
Appeals, payment, endorsement and composition
An appeal notice with grounds goes to Registrar for submission to Minister. Fees are paid at lodgement unless directed otherwise, with late penalties/renewal fees possible and good-reason waiver wholly/partly. Multi-person electronic endorsements complete within three calendar days or allowed longer. Surrender/cancellation or withdrawn applications/appeals do not refund fees. Sections 16(4),26(2) except continuing offences,28(5),31(4),33 offences may compound under 35.
Deemed business registration and restoration dates
When a general partner is deemed Business Registration Act-registered under 42(3)(a), expiry is the LP’s pre-suspension expiry and renewal follows that Act 8(4), subject 42(4). Restored LP and partners under 42(4)(b)/42(6) expire when the resultant firm’s registration would have expired absent its cessation under 42(4)(a). Restoration therefore does not simply start a new full term.
