Director compensation, nominee disclosure and court remedies
Items a–c cover compensation up to one year’s emoluments to an executive director on termination without shareholder approval (section 86), relaxed conditions for nominee-director disclosure to nominators (80), and a court buy-out order instead of winding up (150). The short list does not reproduce all qualifying conditions for each change.
Derivative actions include arbitration and listed companies
Items d–e expand section 216A leave applications to commence or intervene in arbitration and extend the statutory derivative action to Singapore-incorporated companies listed on Singapore or overseas securities markets. Both map to amendment section 146.
Share acquisitions, financial assistance and issue costs
Items f–i permit selected off-market self-acquisitions by listed companies under authorised agreements (45), remove private-company financial-assistance prohibition and add exceptions (41), permit capital to fund brokerage/commissions for share issues and buybacks (35), and allow shares issued for no consideration (35). None is a claim that every capital transaction is unconditional.
Audit exemption and resignation
Items j–l consolidate auditor-independence provisions under the Accountants Act (9), introduce small-company audit exemption (128、184), and allow non-public-interest-company auditors to resign by notice while requiring ACRA consent for premature resignation from public-interest companies/subsidiaries (126).
Financial reporting requirements
Items m–n determine consolidated-statement preparation through financial reporting standards rather than the Companies Act (112、113、116 and related amendments) and repeal the statutory parent/subsidiary financial-year alignment requirement (115).
Secretaries, share warrants and employee priority
Items o–r remove physical presence of private-company secretaries at the registered office, place public-company secretary requirements in regulations (both 88), abolish share-warrant transition arrangements (34), and update employee preferential-payment limits in insolvency (151). The list is labelled implementation in July 2015 and links to further selected-amendment details.
