Directors, CEOs and debarment
Items a–e remove shareholder approval for reappointing directors aged 70 or above; extend permitted director-related loan types to quasi-loans, credit transactions and related arrangements; extend disclosure to CEOs; allow third-party-liability indemnity; and give the Registrar power to debar directors/secretaries. The list does not say indemnity or loan arrangements are unrestricted.
Participation and decision-making
Items f–i lower the poll-demand percentage from 10% to 5%, introduce multiple proxies for indirect investors, liberalise electronic document transmission and extend written-resolution procedures to unlisted public companies. These are distinct changes to voting, attendance, delivery and decision form.
Shares and amalgamation
Items j–m remove public-company one-share-one-vote requirements, introduce statutory share redenomination, refine amalgamation, and clarify that redemption funded by a fresh share issue is not redemption out of capital. Item n transfers central-depository provisions to the Securities and Futures Act.
Financial statements and electronic registers
Items o–r introduce financial-statement-preparation exemption for dormant non-listed companies, extend summary financial statements to all companies, place private-company electronic member registers with ACRA and place electronic director/officer registers for all companies with ACRA. Dormancy exemption concerns preparation, not automatically every company obligation.
Constitution, charity names and alternate addresses
Items s–u merge memorandum/articles into one constitution, remove the need for Charities Act-registered charities to apply to omit Limited, and permit alternate addresses for directors/others. Name omission applies to the charity category described, not every company choosing a shorter name.
Striking off, names and foreign companies
The remaining entries update local striking-off provisions, except the prescribed circumstances for the Registrar’s assessment of non-operation; amend name reservation/protection; and implement all foreign-company amendments in the listed phase. The final entry repeats a letter in the source but is a separate topic. The article preserves the 3 January 2016 historical implementation identity.
