The review and recommendation totals
The Steering Committee, chaired by Professor Walter Woon and appointed in October 2007, submitted its final report in April 2011. Consultation ran from June to October 2011. MOF accepted 192, modified 17 and did not accept eight at that point, totalling 217. This announcement concerns government decisions on recommendations, not 217 provisions already in force.
Companies and capital flexibility
The announcement envisages non-voting and multiple-vote shares where articles permit and safeguards are satisfied, to broaden capital raising and investor preferences. It describes a planned change, so its benefit should not be mistaken for a complete statement of later share-class conditions.
SMEs and the small-company concept
A new small-company concept would determine statutory-audit requirements and lower compliance costs. MOF estimated an additional roughly 10% of companies, or around 25,000, could benefit. These are the announcement’s forecast figures, not a current count or the later detailed eligibility test.
Retail and CPF investor participation
A multiple-proxy regime would let indirect and CPF investors attend and vote at shareholder meetings, involving beneficial owners more actively in governance. The source states the policy objective without detailing every intermediary’s later proxy obligations.
Implementation and the attached report structure
The announcement says implementation will require Companies Act amendments and draft-bill consultation early the following year. Annex A is the consultation responses report with chapters on directors, shareholder rights/meetings, capital and restructuring, accounts/audit, administration, charges and new issues, plus committee composition and respondents. Annex B highlights key recommendations. The three-page PDF links these separate downloads but does not contain their full text.
