Updating Paid-up Share Capital in Bizfile (December 2025 Guide)

The notice updates paid-up amounts on already issued, partly paid shares. This guide separates company-level capital from shareholder-level entries and explains multiple currencies, trust names, preview checks and the Inbox confirmation.

Use the right service for partly paid shares

Updated as of 12 December 2025, the sixteen-page guide says Notice to Update Paid-up Share Capital updates the amount paid on partially paid shares already issued by the company. It is not presented as an allotment or share-transfer service. All names, UENs, identity numbers, addresses and figures in screenshots are dummy illustrations. They should not be used as a worked example proving the validity or reconciliation of any particular capital change.

Confirm entity access and start or resume

Login using Corppass Business User credentials. Check the entity name in both the top bar and dashboard and the position-holder status indicator. From Manage choose Update shares information, then select Notice to update paid-up share capital on the introduction page. Start a new transaction or use Continue with existing for a previously saved draft. Verify the entity details again and enter the date of change before proceeding. A saved draft is separate from the successful submission shown at the end.

Company-level paid-up capital and currencies

If the company total requires updating, choose Update share capital, select the currency and enter the updated paid-up amount, then save. Use Update other currency for another currency and repeat the required information before Next. If only shareholder paid-up amounts need updating, the guide expressly permits proceeding directly to the shareholder stage without this company-total update. The distinction prevents assuming every shareholder correction necessarily changes the company’s displayed aggregate.

Select shareholders and record each class amount

In Shareholding details choose Update individual/corporate shares, select the shareholder from the list and save. Then select currency, enter updated paid-up amounts and save again. The screenshot shows ordinary and preference class amounts alongside existing share counts; this guide instructs updating paid-up amounts, not rewriting share counts through this notice. For shares held in trust, the trust name may also be updated on that page. Do not substitute a trustee’s name for a trust name merely because both concern a trust holding.

Add other currencies or shareholders and correct entries

For another currency of the same shareholder choose Update other currency. For a different shareholder choose Update other individual/corporate share paid-up. To correct an existing currency entry, use Edit on that currency accordion. Complete each affected record, save it and then continue to Review and confirm. These separate controls let a filer distinguish adding a record from correcting one, avoiding an unnecessary duplicate shareholder or currency entry.

Check before-and-after data and make the declaration

Review entity details, change date, affected company share-class and currency totals before and after the update, and shareholder details before and after. Tick the declaration that the information is true and correct to the filer’s knowledge and the filer is authorised; the screenshot also warns of prosecution for false or misleading information. Use Back if corrections are required, otherwise Submit. The PDF does not provide statutory lodgement deadlines, fees, payment steps or a validation formula for reconciling company and shareholder totals, so those should not be inferred from dummy screenshot values.

Retain transaction evidence and Inbox confirmation

Successful submission displays an acknowledgement with UEN, transaction ID, transaction name and date/time, plus a My Transaction link and print control. A Bizfile Inbox message then confirms successful submission and that the supplied information has been updated, identifying the entity and transaction. Keep both records and check they correspond to the right company. The screen’s generic Complete/Payment progress label is not, by itself, evidence that this notice requires a fee when no payment step is described.
