Companies and foreign companies in scope
Under section 386AN and the 2020 direction notification, every company and foreign company to which Part XIA applies must lodge all particulars in its section 386AF register with the Registrar. It must also lodge every update occurring after the initial submission. The initial filing is therefore not the end of the obligation.
The parallel LLP requirement
Under section 32M and the LLP direction notification, LLPs subject to Part VIA lodge all particulars in their section 32F register and all subsequent updates with the LLP Registrar. The LLP requirement is based on its own statutory provisions rather than applying company sections to an LLP.
Where the filing timelines are prescribed
For companies, the source refers to the Companies (Register of Controllers and Nominee Directors) Regulations 2017; for LLPs, to the Limited Liability Partnerships (Register of Controllers) Regulations 2017. The direction does not print a numerical deadline. An exact number of days should not be invented from this one-page document.
Date and scope of the direction
Practice Direction 3 of 2020 was issued on 30 July 2020 by the Registrar of Companies and Registrar of LLPs. It makes a lodging requirement for entities within the specified statutory scope, not a claim that every exempt entity must nevertheless file.
