Scope and the change from partial to full XBRL
Issued on 3 March 2014, the direction applies to Singapore-incorporated unlimited companies and companies limited by shares filing from that date. Companies limited by guarantee, foreign companies and their local branches are outside the revision. XBRL filing began in 2007. The former Full XBRL option and Partial XBRL option—at least financial position and comprehensive income with a PDF—were replaced by full filing against the ACRA Taxonomy 2013 minimum list. Partial Option B under FS Manager ceased. The direction applies to reporting periods ending on or after 30 April 2007; earlier periods retain PDF statements and financial highlights in the annual return. These are historical rules, not the later 2020 revision.
Exceptions and the two EPC categories
MAS-regulated commercial banks, merchant banks, registered insurers and finance companies, and companies legally using standards other than SFRS, SFRS for Small Entities or IFRS, submit AGM statements in PDF plus XBRL Financial Statement Highlights instead of a full XBRL set. Insolvent EPCs may choose full XBRL or full PDF plus XBRL highlights. Solvent EPCs need not file statements; voluntary options are full statements in XBRL or PDF, or XBRL highlights. Before the revision, the financial-sector and other-standard categories had been PDF exemptions. Their revised PDF-plus-highlights requirement should not be omitted.
Every minimum-list section and its four qualifications
The minimum list combines one text block containing the entire statements with detailed elements. Statutory reports are the directors’ statement and independent auditor’s report. Primary statements are financial position, income and cash flows. Note sections are corporate/general information, receivables, payables, provisions, share capital, revenue, government grants, employee-benefit expense, operating segments, property/plant/equipment, and selected income/expenses. Complete information or breakdown is required for the specified position, income and note sections, with other concepts where available. Cash flows, employee benefits and selected income/expenses contain only selected elements, so they need not sum to a complete total. Receivables, payables and provisions need no breakdown by party classes, whereas share capital and equipment require class breakdown. Sections apply only where relevant information exists; extra reporting beyond the minimum is allowed.
Directors’ responsibility and all annual-return information changes
Directors remain responsible for accurate XBRL or highlights, should use preparers with accounting knowledge and check information before authorising filing. Eighth Schedule changes removed statements about share-based plans, mergers/acquisitions and whether a listed company was in its first IPO year. Principal activities changed from throughout the year to activities at both the accounts date and annual-return date. New details covered whether the company or consolidated group had more than fifty employees, and for Singapore-listed companies the signing auditor’s appointment year and audit/non-audit fee breakdown. Audit exemption, accounting-entity name and signing public-accountant name moved into the main annual-return form rather than the XBRL statements.
The original BizFinx workflow and full system requirements
The free preparation tool supported offline work, followed by upload through the portal; compliant third-party tools could also generate accepted files. Historical software requirements were Windows XP, Vista, 7 or 8; .NET 3.5 SP1 or later; Office 2003 Professional; Office 2007 Standard, Small Business, Professional, Professional Plus, Ultimate or Enterprise; Office 2010 or 2013 Home and Business, Standard, Professional or Professional Plus. Hardware minima were a 2.0 GHz Core 2 Duo, i 3, i 5 or i 7 processor, 2 GB RAM, 200 MB free tool space and 1280×800 resolution. These obsolete requirements document the 2014 transition and should not be recommended as a present-day installation specification.
Requesting a Word copy of former Full XBRL statements
Former Option A users could request a Word copy as a preparation template by emailing ACRA_xbrl_general@acra.gov.sg with the stated subject identifying an Option A Word-copy request. Attach a scanned company-letterhead letter signed by a director, identifying company name, registration number and the relevant year-end, together with a copy of the filed Option A XBRL statements. There was no fee, with approximately seven working days for processing. This was a transition service rather than confirmation that the same email request still operates.
Two historical Notice of Error routes
For typographical or clerical errors in FS Manager filings before 28 February 2014 at 23:59, select Option C Full PDF as other companies approved by ACRA in the Notice of Error annual-return form, attach AGM PDF statements and state approval date 3 March 2014. For BizFinx filings on or after 3 March 2014, attach amended XBRL to the Notice of Error. The footnote states that annual-return filing was unavailable on 1 and 2 March 2014 during maintenance. These are date-specific historical correction routes; they must not replace the separate later rule requiring corrections to follow the original filing requirements.
First-year concessions have mutually exclusive conditions
Only non-public-listed companies filing full revised XBRL during 3 March 2014–2 March 2015 qualify. They could obtain a fee waiver when applying for thirty-day extensions to hold the AGM under section 175 and lay statements under section 201. Alternatively, where the AGM and laying occurred on time, a full-XBRL annual return no more than thirty days late under section 197 received a penalty waiver. A company granted extensions under sections 175 and 201 could not also receive that section 197 penalty waiver. Despite waiver, breaches of sections 175, 197 or 201 produced the red-cross compliance rating, confirmed on the rendered page. Public-listed here means listed or quoted on a Singapore exchange. These concessions were temporary, not permanent extra filing time.
Training and original support references
A S$1.8 million training fund supported the transition, with free seminars and heavily subsidised courses through professional bodies. The direction links ACRA’s XBRL help resources and lists Ask Jamie and helpdesk 6248 6028 for clarification. These are the original 2014 support references, which should be checked before use rather than presented as guaranteed current contact channels. The document was signed by Kenneth Yap as Chief Executive and Registrar of Companies.
