Historical commencement and instruments
Issued on 26 January 2006, the direction describes changes effective 30 January under the Second Schedule amendment notification, filing amendment regulations, Companies amendment regulations and Eighth Schedule amendment notification. It links No. 1 of 2006 as related guidance. Amounts and BizFile menus below belong to this historical version, not current quotations.
Financial-assistance, treasury and S$10 reduction filings
Item 25: notice of resolution/intention for financial assistance under 76(9A)(g), (9B)(f), (10)(c)/(e), S$10. Item 35A: treasury disposal/cancellation under 76K(5), S$10. Reduction item 35B: solvency statement plus special resolution under 78C(3)(c), S$10; 35C: creditor court-application notice under 78D(4)(b), S$10; 35H: cancellation-order notice under 78F(4), S$10. Miscellaneous item 91: court order dismissing a reduction application under filing regulation 41D, S$10.
All S$30 reduction filings and publicity fee
35D under 78E(1)(ii): solvency/directors’ statements and reduction notice; 35E under 78E(2)(i)/(ii): directors’ statement and notice; 35F under 78E(3)(iii) and 35G under 78E(4)(iii): directors’ statement, court order and notice; 35I under 78I(3): court order and notice; 35J under 78I(3): extension to lodge them. Each is S$30. Item 35K publicity-document lodgement under 78B(1)(c), 78C(1)(c) and regulation 6 is S$500. The source lists separate transactions, not a single all-inclusive reduction price.
Amalgamation fee and earliest application
Item 35L under 215E(1) is S$400 when the amalgamated company is an existing amalgamating company, or S$700 if new. If an intended date is specified in the proposal, registration application via BizFile may not be made earlier than two months before that date. This is the earliest permitted filing point, not a requirement to apply exactly two months ahead.
Three capital-reduction forms and EPC certificate
Historical Changes to Local Company menus contain the creditor application-to-cancel notice under 78D, cancellation-order notice under 78F(4), and extension application for approval-order/reduction-notice lodgement under 78I(3). Each uses the applicable form. The filing Schedule clarification permits an EPC certificate under 197(1) only if the entity is and was an EPC at all relevant times; status only at filing is insufficient.
Eight-day publicity and free access
Within eight days beginning with the resolution date, lodge the special resolution’s text, date and reduction information to meet 78B(1)(c)/78C(1)(c) publicity. Submitted proposed-reduction-notice information becomes free for anyone to view in BizFile. The eight-day period starts with the resolution date; free viewing of this notice does not mean all products/extracts are free.
All annual-return information changes
Summary Returns no longer require discounted-share counts/unwritten-off discount totals or buyback-share counts. They add total amounts agreed unpaid on partly paid non-cash shares and treasury-share totals. Main Return Financial Highlights derive from section 201-compliant statements, as No. 1 of 2006 paragraph 6.2.2(c) explains. These changes remove two specific fields and add two; they do not remove the entire return.
