The original transition and statutory timing
The notification under section 62B(7) followed the appointed date of 30 January 2006. A company could file before the due date for its first annual return after that date, or before six months expired, whichever was earlier, or within a longer period allowed by the Registrar. The earlier direction described updating share premiums and capital redemption reserves through the new form.
An additional month without a fee or penalty
ACRA allowed a further month until 31 August 2006 in response to requests for time. Filings on or before that date incurred no fee or penalty. The Notification was to be removed from the BizFile menu on 1 September 2006. These were one-off 2006 arrangements, not a rolling present-day filing extension.
The route after the window
The direction’s section for lodgements on or after 1 September 2006 requires a written extension application supported by reasons for delay. The application fee was S$30 under Second Schedule item 112. If approved, the Notification had to be filed through General Lodgement with a further S$10 filing fee under item 114. Approval was not automatic.
Purpose and historical references
Accurate, up-to-date public capital records were the reason for the time frame. Issued on 1 August 2006, this direction refers to Practice Direction 1 of 2006 and the Companies (Amendment) Act 2005 transition. The two fees belong to that historical schedule.
