FY2017 Financial Statements: ACRA’s Eight Review Priorities

Financial Reporting Practice Guidance 1 of 2018 sets out questions directors should ask about FY2017 reporting. It covers the historical standards transition, solvency assumptions, valuations, acquisitions, control, cash flows and tailored disclosures.

Historical context and the limits of the focus list

The guidance addresses FY2017 statements reviewed through ACRA’s Financial Reporting Surveillance Programme. It cites the December 2017 economic outlook, with Singapore growth projected at 3.0%–3.5% and improving semiconductors, computer peripherals and retail performance. Oil-and-gas exploration equipment remained under pressure, while digital disruption created additional impairment risks. Those observations explain the chosen priorities and are historical context, not current forecasts. The eight focus areas do not exhaust Singapore accounting requirements, and ACRA may review other areas.

Disclose progress on standards that were approaching implementation

The document identifies revenue and financial-instrument changes and IFRS convergence effective for years beginning on or after 1 January 2018, and the lease standard effective from 1 January 2019. By the time FY2017 statements were approved in 2018, some changes would already apply. Companies should therefore disclose more than general qualitative descriptions, including known or reasonably estimable quantitative effects and progress in implementation. Office, retail and equipment lessees were reminded to prepare for recognising future lease payments as liabilities rather than only commitments. Directors should examine covenant effects and have management engage financiers when necessary.

Assess going concern for at least twelve months from year-end

Indicators such as substantial operating losses, net current liabilities, adverse ratios, inability to pay creditors, covenant breaches or uncertain refinancing require scrutiny of the assumptions supporting continued operations. The assessment covers at least twelve months from financial year-end and is not limited to that minimum. Significant judgements supporting the going-concern basis should be disclosed fully and promptly. Where related-party support is relied upon, directors must assess both the supporter’s realistic ability and its intention to provide funding; a support letter alone does not establish the conclusion.

Test long-lived assets with realistic cash flows and risks

For a loss-making segment without a test, directors should ask why none of the eight prescribed impairment indicators applies; the guidance illustrates lost major customers, cancelled orders and planned restructuring or discontinuance. Material goodwill and indefinite-life intangible assets require annual testing even without an indicator. Test assumptions should reflect the business plan, economic outlook and industry conditions, and any methodology change should be explained. Value-in-use calculations must include all necessary outflows, such as licence-renewal costs supporting future revenue. Discount rates must capture asset-specific risks rather than mechanically using borrowing, inflation or government-bond rates. Compare earlier projections with actual results and, where available, peer assumptions. Small headroom or an unexpected impairment amount calls for sensitivity analysis of reasonably possible assumption changes.

Impairment reversals and disclosures have specific limits

A reversal must follow genuine improvement in underlying conditions, not merely the passage of time bringing projected cash flows nearer. For depreciable or amortisable assets, the revised carrying amount cannot exceed what it would have been, after depreciation or amortisation, without the original impairment. Goodwill impairment cannot be reversed. Disclosures should explain commercial reasons, assumptions and sensitivity where a material asset has little headroom. Revenue growth, margins and specific costs can be as important as discount and terminal-growth rates. Explain whether assumptions follow past experience or external evidence and, if not, the reasons for departing from them.

One-off gains must reflect economic substance

The guidance describes a partial subsidiary sale with a twelve-month repurchase obligation at the sale price plus a borrowing-like margin, where disposal accounting produced gains even though the arrangement resembled financing. It also describes a vessel sale with non-cancellable leaseback, retention of substantially all risks and rewards and a residual-value guarantee through a reacquisition option, which generated a disposal gain and apparently improved gearing. Directors should consider intent, terms and instruments, compare alternative treatments and make evidence-based judgements without bias or pressure. For significant specialised fair-value items such as investment property, derivatives, biological assets or investments, review independent valuers’ credentials, full-versus-desktop scope and valuation frequency, and assess whether movements fit market conditions and asset features. These are historical reporting examples, not a substitute for applying later standards to new transactions.

Control depends on substantive decision rights

Special rights held by other parties and potential voting rights from options or warrants can change the assessment. Reserved matters requiring unanimous consent over activities that significantly affect returns can prevent unilateral control even above 50% voting ownership; the guidance then describes equity accounting rather than consolidation. Conversely, notes or warrants may provide substantive decision rights even when the contract calls them protective, potentially requiring consolidation without direct share ownership. Directors should understand each partner’s contribution and the reasons for reserved matters and instruments, then assess management’s conclusion on control, joint control or significant influence. Significant judgements should be meaningfully disclosed.

Acquisitions require identifiable intangibles and the correct control date

Earn-outs, contingent consideration, step acquisitions, previous vendor relationships and call or put options can complicate accounting. Premiums should be analysed for identifiable know-how, licences, patents, trademarks, contracts, order backlogs and customer lists, recognised separately and generally amortised before the residual is treated as goodwill. Otherwise assets may become overstated over time. Material goodwill warrants consideration of a professional valuer whose work includes identifying intangibles, not merely valuing management’s list, and checking management assumptions. The acquisition date determines valuation and when consolidation begins. Signing a sale agreement before substantive conditions are met is not automatically that date; entitlement to earlier profits does not justify consolidation before control is obtained.

Cash flows and tailored judgement disclosures

Operating cash flow is important to investors, and classifications among operating, investing and financing activities must be appropriate. Foreign-currency translation differences from consolidating foreign operations are non-cash and should not be inserted as adjusting items in the indirect-method cash-flow statement. Preparing consolidated cash flows from each foreign operation’s statement in its functional currency can help isolate those differences. Significant and subjective judgements or estimates should be disclosed for the company’s circumstances, including property-use changes, long-lived asset impairment and liquidated damages. Generic descriptions do not explain the choices with the greatest financial effect.
