The statement accompanying financial statements
The source describes section 201(16): financial statements laid at a general meeting, including relevant parent-company consolidated statements, are accompanied before the auditor reports by a statement signed on behalf of the directors by two directors, containing Twelfth Schedule information. This background explains the disclosure document being discussed.
The 1 July 2015 transition
The Twelfth Schedule, inserted by section 184 of the 2014 amendment, took effect on 1 July 2015. Financial years ending on or after that date use the directors’ statement. Certain options to subscribe for unissued shares, formerly disclosed under section 201(11) in the directors’ report, moved into paragraph 2 of the schedule. The old report requirement ceased from that date.
Reference is allowed with clear location and accessibility
Paragraph 3 expressly permits reference where paragraph 2 particulars have already appeared in a previous directors’ statement. The Registrar also accepts reference to a previous directors’ report where the required option information was stated there, provided its location is clearly indicated and it is easily accessible. A vague reference to an unavailable report would not meet the conditions described.
Scope of the historical interpretation
Issued on 31 May 2016, the interpretation bridges the change of document type. Its footnote explains that former section 201(11A) also permitted reference to an earlier report. It does not state that every required disclosure can be omitted merely because some related topic appeared previously.
