The usual attachment rule and the source of relief
Regulation 36 requires non-EPCs and insolvent EPCs to attach the Part VI documents: directors’ statement, financial statements and, where applicable, auditor’s report. Section 201A(1), however, exempts qualifying dormant relevant companies from section 201 preparation and laying requirements. The Registrar accepts that non-EPC DRCs need not attach financial statements to the annual return because they are exempt from preparing them.
Dormancy period and the directors’ statement
The footnote summarises section 201A(2): a relevant company must be dormant from formation or since the end of the previous financial year, and directors must lodge the prescribed statement, including confirmation of that period of dormancy. Merely calling a company inactive does not establish compliance with these conditions.
Relevant-company conditions described
Among the section 201A(5)(a) conditions identified in the source, the company is neither listed nor a listed company’s subsidiary, and total assets do not exceed S$500,000 at any time during the financial year. Section 201A(5)(b) refers to section 205B(2)–(3) for dormancy criteria. The source says among other things, so these summarised features should not be presented as an exhaustive reproduction of the Act.
EPC definition and annual-return scope
The source defines an EPC as a private company with no direct or indirect corporate beneficial share interest and at most 20 members, or a wholly government-owned private company declared exempt by Gazette notification in the national interest. Issued on 31 May 2016, the interpretation concerns attachment relief under section 197. It does not remove the annual-return filing obligation itself.
