The October 2014 Miscellaneous Amendments Speech: Addresses, Registers and CA Names

Josephine Teo’s 7 October 2014 second-reading speech explains three registry reforms and a separate proposal for using the CA (Singapore) designation in entity names.

A speech about proposed changes

The Statutes (Miscellaneous Amendments) (No. 2) Bill speech was delivered in Parliament on 7 October 2014 by the Senior Minister of State for Finance and Transport. It complements the Companies (Amendment) Bill through Accountants, LLP and LP Act changes, and separately addresses the Singapore Accountancy Commission Act. The speech describes proposals at second reading, not their later commencement dates.

Who could use an alternate address

The proposed parallel changes allow a registered public accountant, LLP partner or manager, or LP partner or local manager to show an alternate instead of residential address in ACRA’s public records. The alternate must be a physical location at which the person can be found, not merely a postal box. If invalid, ACRA would substitute the residential address in the public record and bar alternate-address use for three years.

Two expanded correction powers

The speech contrasts earlier correction limited to clerical/typing errors notified by LLPs/LPs, with other defects requiring court applications. Proposed powers would correct unintended filing errors that prejudice nobody, and allow the Registrar to act on grammatical, typographical or similar mistakes without an application. Register information could also be updated on evidence of conflict with other registered information or credible third-party sources. These are bounded correction powers, not permission to change disputed substantive rights freely.

Administrative restoration of LLPs

Under the earlier arrangement described, the Registrar could strike off an LLP reasonably believed not to be trading; restoration within 15 years required the court to be satisfied it had operated at removal or to exercise discretion. The proposal allows Registrar review and restoration of a Registrar-struck-off LLP without requiring a court application, reducing administrative burden. The speech does not set out all later restoration regulations.

CA (Singapore) in entity names

At that time section 25 permitted only sole proprietorships or partnerships wholly composed of Singapore Chartered Accountants to use the designation; companies/LLPs could not. Clause 15 proposes allowing Accountants Act-registered public-accountancy-service entities to use Chartered Accountant of Singapore or CA (Singapore) in names. Other accountancy-service entities not registered under that Act could apply to the Singapore Accountancy Commission. It is an entity-naming proposal, not automatic individual chartered qualification.
