When the changes took effect
The FAQ identifies the Companies and Limited Liability Partnerships (Miscellaneous Amendments) Act 2024 and states that it comes into effect on 16 June 2025. The year in the Act’s name and its later commencement date refer to different stages of the legislation.
New companies: RORC from incorporation
Newly incorporated companies must establish and keep a Register of Registrable Controllers from the incorporation date. The FAQ presents this as an enhancement to transparency; it does not specify an additional grace period in which a new company can defer creating the register.
Foreign companies: both nominee registers
Foreign companies must keep a Register of Nominee Directors (ROND), in addition to a Register of Nominee Shareholders (RONS). The third FAQ confirms they must maintain both registers and file all information kept in them with ACRA. Maintaining a private register and filing its information are separate obligations.
Central filing and publicly visible nominee status
Companies and foreign companies file all information held in their ROND and RONS into ACRA’s central registers. Directors’ and shareholders’ nominee status will be publicly available. The FAQ states public availability of nominee status; it does not say every submitted personal detail is public.
Maximum fine is stated for each breach
The maximum fine for register-related offences rises to S$25,000 for each breach of requirements. The FAQ does not give a single combined cap for all breaches or state that every breach automatically attracts that maximum. It also does not list detailed exemptions, filing forms or transitional dates, which require the fuller official guidance.
