Two changes from 31 August 2004
Published 30 August 2004, this four-page circular and Annex A announce changes to share-transfer valuation and in-specie liquidation distributions for instruments dated from 31 August 2004. It is a historical source, rather than a complete account of every present-day share or property duty.
Unlisted shares and property valuation
Duty on unlisted shares uses consideration or net asset value of transferred shares, whichever is greater. Previously, transferees in companies owning immovable property legally or beneficially had to replace property balance-sheet values with market values regardless of share quantity/value. From the stated date this substitution was no longer mandatory: transferees could choose balance-sheet property values when computing NAV.
Worksheet C and audits
Simplified Worksheet C replaced Worksheets A and B to lower compliance costs. IRAS retained back-end checks to ensure duty reflected true share value, especially non-arm’s-length transactions. The optional balance-sheet approach did not abolish valuation scrutiny or the greater-of-consideration-and-NAV basis.
In-specie assets on liquidation
Previously transfers of a liquidating company’s immovable property or shares to shareholders attracted fixed duty. From the stated date, ad valorem duty based on acquired property/share value applies, similar to other acquisitions. Distributing assets rather than selling them does not by itself preserve the old fixed-duty treatment. No duty percentage is printed in this short circular.
