May 2026 UTPR Safe Harbour Guidance: Bridging 52–53-Week Fiscal Years

The four-page guidance changes the transition end-date and expressly covers the illustrated 53-week year, closing a gap before the Side-by-Side or UPE safe harbour can apply.

The limited problem the guidance addresses

Approved on 11 May 2026, this OECD guidance concerns the Transitional UTPR Safe Harbour for the ultimate parent entity’s jurisdiction. It does not replace the entire GloBE system or exempt every subsidiary jurisdiction. The July 2023 arrangement deemed the UPE-jurisdiction UTPR top-up tax amount zero during specified transitional fiscal years. The original overview describes years no longer than twelve months beginning by 31 December 2025 and ending before 31 December 2026. That wording could leave an accounting-calendar gap before the newer Side-by-Side or UPE safe harbour, which starts with fiscal years commencing from 1 January 2026.

Why a 53-week year crosses the old boundary

Some accounting standards permit fiscal years made of complete weeks and ending on the same weekday, such as the Sunday nearest 31 December. Most such years contain 52 weeks, or 364 days. An extra week approximately every five or six years keeps the closing date near the chosen calendar date, creating a 53-week year. A year starting before the end of 2025 can therefore finish after the end of 2026. It starts too early for the new safe harbours but ends too late for the old transition wording. The guidance addresses this specific interaction, not a general permission to extend any accounting period.

The amended date and the express example

The amendment replaces 31 December 2026 with 3 January 2027 in the relevant transition-period definition and explanatory paragraph. It retains the start-date requirement of on or before 31 December 2025. The added explanation expressly covers 52–53-week calendars and gives a 53-week year from 28 December 2025 to 2 January 2027: UTPR top-up tax for the UPE jurisdiction is deemed zero for that year under the transitional safe harbour. The printed amendment still carries the general no-longer-than-twelve-month wording while adding this express 53-week example. Read the example as the clarification for such calendars, rather than silently rewriting the text into an unlimited duration concession.

Bridge only to an eligible later safe harbour

Where the UPE jurisdiction qualifies first for transitional UTPR relief and then for Side-by-Side or UPE relief for years commencing from 1 January 2026, a qualifying 53-week group remains covered during the illustrated bridge. Eligibility for those underlying regimes must still be established. The guidance changes two Commentary passages, not the substantive qualification rules for every other safe harbour or the operation of IIR and domestic top-up taxes. Keep the fiscal-year calendar, start/end dates and jurisdictional eligibility evidence when assessing the transition.
