Edition and the two directions of change
This article follows the twenty-six-page third edition published on 30 January 2026, with earlier editions on 5 April 2022 and 12 January 2024. It concerns businesses that keep trading stock and assets, including sole proprietors and partnerships. A change from stock to non-trade or capital use and a change in the opposite direction have different tax consequences; neither is simply an ordinary cash sale.
Meaning of appropriation, conversion and market value
Appropriation means permanently setting aside trading stock for a purpose other than sale in the ordinary course of business. Conversion means a non-trade or capital asset becomes trading stock. The facts must establish the change and its date. Open market value, or OMV, is the value obtainable in an open-market transaction at that date. Tax written-down value, or TWDV, is the remaining tax value after capital allowances, and is different from the accounting net book value.
Commencement and earlier disputes
Sections 10J and 32A took effect on 16 November 2021. The guide also describes validation of earlier assessments, except proceedings initiated before 13 September 2021. Its FAQ says the new legislation does not apply to ongoing dispute cases: the Comptroller continues to consider their particular facts. Where the original character of an item is disputed, establish first whether it was trading stock or a non-trade asset, before deciding whether a later change occurred.
Stock taken out of trade under section 10J
The OMV on the appropriation date is treated as trade income. Deduct the stock cost under the ordinary section 14 rules, subject to section 15, rather than treating the withdrawal as having no proceeds. If the stock becomes qualifying plant or machinery used in the business, capital allowances under sections 19 or 19A may be based on its OMV at appropriation. Its new use must independently satisfy the allowance rules.
Four scenarios: valuation date and assessment year
The guide separates the date used for valuation from the year in which a tax adjustment is assessed. All four examples assume a 31 December year-end. A: an appropriation on 1 September 2022 is reported and accepted in YA 2023; use that date’s OMV and adjust YA 2023. B: reported as 1 March 2023 in YA 2024, but the Comptroller discovers in 2025 that it occurred on 1 September 2022; use 1 September 2022 OMV and adjust YA 2025.
C: reported as 1 September 2023 in YA 2024, but established in 2025 as 1 March 2024; use 1 March 2024 OMV and adjust YA 2025. D: unreported appropriation on 1 March 2022 is discovered in 2026; use 1 March 2022 OMV and adjust YA 2026. Do not replace these discovery-year rules with a generic instruction to amend only the year containing the actual date. An incorrect return resulting in lower tax may also attract section 95.
Perishable stock and qualifying donations
The reporting-form exception for donated perishable stock covers such items as milk, bread, fruit and vegetables; rice and canned goods are not normally perishable, although a particular short shelf life may matter. Perishable donated stock can have zero OMV. The exception is not a general exclusion for all donations.
For qualifying stock donations under section 37(3), such as qualifying art or sculptures to approved museums and qualifying shares or immovable property to an IPC, the guide uses cost instead of OMV as appropriation income. This prevents an appropriation gain or loss when the cost is deductible. The separate enhanced donation deduction remains based on the qualifying OMV, at the stated 250% rate where applicable.
Capital assets converted to stock under section 32A
The change in value before conversion is capital in nature and is not taxable or deductible. OMV at conversion becomes the stock cost for the subsequent sale. Later revenue profit or loss equals actual sale proceeds minus that OMV and the cost of additional work; the trading gain is taxable and the trading loss deductible. A mere search for a buyer for a long-held asset in its original state, with no redevelopment or only minimal enhancement, is likely a capital disposal unless the facts indicate otherwise.
Capital allowances and balancing adjustments
If a qualifying plant or machine has already received capital allowances, conversion to stock requires a section 20 balancing adjustment comparing OMV with TWDV. A balancing charge is taxable but cannot exceed the allowances previously granted; a balancing allowance is deductible. Report the relevant adjustment for the YA whose basis period contains the conversion. This recapture of earlier allowances is separate from the capital change in value and the subsequent stock-sale profit.
Who submits the AC Reporting Form and when
A non-individual must notify the Comptroller using the AC Reporting Form when filing the return for the basis period containing the change, including Form C-S, Form C-S (Lite) and relevant trust returns. Where a partnership has any non-individual partner, its precedent partner submits the form; partners need not duplicate it. Individuals and partnerships consisting solely of individuals do not submit this form, but still make the correct tax adjustments.
Complete and sign the form and send it with the tax return or tax computation through myTax Mail. The form estimates ten minutes to complete. Supporting documents need not be attached at filing, but contemporaneous evidence must be kept and supplied when requested. The form exemption does not remove valuation and record-keeping obligations.
Valuation evidence and independent reports
A readily quoted asset, such as listed shares, can use its quoted closing price. The guide requires independent valuation for an immovable property with historical cost above S$1 million, and for specialised or customised assets with historical cost above S$500,000. Reasonable valuation costs incurred for compliance may be deductible under section 14V.
A valuation report should clearly state its parameters so IRAS can verify the basis; the Comptroller may accept a reasonable OMV. Where no market exists because of an item’s particular nature or condition, a reasonable valuation in the circumstances may be considered. An unsubstantiated book entry alone is insufficient.
Evidence establishing the purpose and date
Retain proposals and board resolutions, changes from stock to fixed-asset classifications, donation receipts, lease-only advertisements and investment-yield or cash-flow studies. For conversion into development stock, retain development-charge or differential-premium payments, contractor appointments, developer licences and a committed redevelopment plan. Mere contemplation or an unsuccessful earlier plan is not necessarily a conversion. A substantial payment is strong evidence, but other facts can establish an earlier committed date.
Annex A: computers withdrawn for business use
A trader bought fifty computers at S$1,000 each on 1 September 2022. Two were appropriated for business use on 15 April 2023, with total cost S$2,000 and OMV S$2,500. YA 2024 includes S$2,500 deemed proceeds less S$2,000 deductible cost, producing S$500 taxable trade profit. On the assumptions in the example, the S$2,500 OMV also forms the qualifying capital-allowance basis and is written off in one year. The stock-income adjustment and the allowance are two separate entries.
Annex B, example 1: leased machines converted for sale
Thirty machines from a batch of fifty cost S$90,000 and were used for leasing. Allowances of S$30,000 in YA 2023 and S$30,000 in YA 2024 leave TWDV S$30,000. On 15 January 2024 they are converted into stock at OMV S$110,000. The S$80,000 excess over TWDV produces a balancing charge capped at the S$60,000 allowances already granted, in YA 2025.
After S$40,000 of additional work, the machines sell on 30 March 2024 for S$205,000. The separate YA 2025 trading profit is S$205,000 minus S$110,000 OMV minus S$40,000 work, or S$55,000. Do not substitute the original S$90,000 purchase cost for the conversion OMV.
Annex B, example 2: office property redeveloped for sale
A property bought for S$10 million in 1999 was used for offices and leasing spare space. A rejected 2015 redevelopment proposal did not establish conversion. A fresh proposal on 22 September 2023 received provisional approval on 30 November, subject to a S$12 million development charge. The board committed to the project on 15 December and paid on 18 December. The guide selects 15 December 2023 as the conversion date, reflecting that earlier commitment.
OMV then was S$25 million. The S$15 million increase from original cost is a non-taxable capital gain for YA 2024. Redevelopment costs are S$40 million, TOP is obtained on 31 May 2025, and all units sell during the year ended 31 December 2025 for S$100 million. The YA 2026 revenue profit is S$100 million minus S$25 million conversion OMV minus S$40 million development cost: S$35 million.
Annex C: every declaration field
Part 1 records taxpayer or partnership name, tax reference and YA. Part 2 identifies appropriation, conversion or both. Part 3a records the stock description, purchase or manufacturing/completion date, appropriation date and reasons, cost, net book value, OMV, gain or loss reported, independent-valuation status and confirmation that the tax adjustments are in the return. Book value equals cost only if there have been no impairment provisions or fair-value changes.
Part 3b records the asset description, purchase and conversion dates, reasons, cost, conversion OMV, expected disposal date if known, work adding value after conversion, independent-valuation status and whether any balancing adjustment is included or inapplicable. Part 4 requires the authorised person’s full name, signature, designation and date, confirming true and complete information and acknowledging the consequences of incorrect declarations.
Annex C: supporting-document checklist
The checklist identifies the appropriation or conversion proposal and directors’ resolution; donation receipt; investment-yield study or adviser recommendation; independent valuation; rental-only advertising; development-charge or differential-premium payment; contractor appointment; developer licence for sale; and other supporting material. Mark the evidence actually available. Retain it for requests rather than assuming a checked box substitutes for the underlying document.
Annex D: transactions that do not trigger section 10J
The thirteen FAQs also distinguish three important cases. If an item is demonstrably intended from the outset for donation or capital use, it was never trading stock: consistently apply its non-trade or capital treatment. Stock used for commercial sponsorship is disposed of in the ordinary business course even without a sale; expense deductibility follows sections 14 and 15. Moving stock for sale into another trade conducted by the same person is not appropriation for non-trade or capital use, and the subsequent trade sale is taxed accordingly.
Long holding or temporary letting of a developer’s unsold units is not conclusive of appropriation. IRAS considers all evidence of a permanent change, including resolutions, classifications and returns analysis. These distinctions complement the other FAQs on disputes, individuals and partnerships, valuation, cost deduction, non-disclosure, committed conversion dates, an ordinary capital disposal and allowance recapture covered above.
Revision history and practical filing review
The second edition updated the Annex C declaration in January 2024; this article uses the January 2026 third edition. Before filing, reconcile the asset’s original character, actual change date, OMV evidence, cost deduction or balancing adjustment, relevant YA and reporting-form responsibility. The guide lists 1800 356 8622 for corporate and trust queries and 1800 356 8300 for individual and partnership queries. All four annexes are explained here and the original PDF remains linked.
