January 2026 sixth edition
The fourteen-page guide permits two or more qualifying companies to centralise returns through a representative member. Supplies by/to members are treated as by/to the representative. The purpose is administrative simplification, not a tax-planning arrangement.
One return, invoices and shared liability
The representative files one timely return, while every member keeps supporting records. Members are jointly and severally liable; former members remain liable for tax during membership. Use the new group GST number but individual member names on invoices. The number remains despite membership or representative changes.
Input tax, intra-group supplies and other arrears
Partial exemption and input recovery apply to the whole group; one exempt member can reduce group recovery. Internal supplies are normally disregarded, but reverse charge may apply to services procured from an overseas member from 1 January 2020. Group GST credits can be authorised to settle members’ other tax arrears; absent authorisation the Comptroller apportions credit equally and applies that debtor member’s share.
Schemes and supplies before grouping
MES/IGDS approvals cease on grouping and the representative applies again for the whole group. Other schemes are individually reviewed for continuation. Adjustments to pre-group taxable transactions between later members remain taxable and use the individual member’s F7 with GST on debit/credit notes; they are not retrospectively internal supplies.
Membership: registration and five alternative attributes
Each member must already be individually GST registered and have at least one attribute: Singapore residence/established business place; annual turnover at least S$1 million including standard/zero/out-of-scope/exempt supplies; a securities listing anywhere; subsidiary of an entity satisfying turnover/listing; or financed by such an entity in its venture-capital investment business. OVR pay-only and reverse-charge businesses may qualify under their specific guides.
Representative and control requirements
The representative must be a Singapore-resident corporate body or have an established business place here, not an overseas company without that basis. Control is by one member over all others, one external individual/entity over all, or external business partners jointly over the corporate members. A holding-company relationship requires board-composition control, more than half voting power, or more than half issued capital excluding preference shares. Residence means control/management here; an established place has physical premises and intended permanence.
Four application forms and ninety-day lead time
All members jointly sign G1, nominate the representative and apply at least ninety days before the intended start; a late application may receive a later date. The representative communicates the outcome to all. G2 adds/removes members, G3 deregisters the group and restores prior individual GST numbers, and G4 changes representative. Applications remain subject to approval.
Annex 1: organisational chart and partially exempt groups
Prepare systems by the start date. Attach a chart showing controller, all members, ownership/voting percentages or board-control basis, representative and partially exempt members. Partially exempt applications—including relevant additions—also explain grouping/regulatory reasons, intra/outside-group supply volumes/values and estimated manpower/system/administrative savings versus tax-position savings. All applying members sign and acknowledge shared liability.
Annex 2: why a minority percentage can still show control
H owns R one hundred percent, S eighty percent, Y fifty-one percent, X one hundred percent and foreign company seventy percent. R is representative; X partially exempt. R holds Z fifty-one percent and D twenty-five percent; H also directly holds D thirty percent. The diagram expressly shows board-composition control of D through R. Do not infer D eligibility merely by adding percentages or requiring every link to exceed fifty percent.
Ongoing notices and cancellation powers
Notify when a member begins exempt supplies and keep every condition satisfied. Write within thirty days if a member loses eligibility. IRAS can refuse, remove members or deregister for lost control, failed conditions, false/misleading/inaccurate application information, representative ineligibility, no eligible representative or revenue protection. The representative must inform members of continuing liabilities.
