Scope: prescribed substitutes for interest
The fifth edition, dated 30 January 2026, concerns non-interest borrowing costs under section 14(1)(a)(ii). From YA 2008, prescribed costs substituting for interest or reducing interest may be deducted; financing a capital asset does not by itself make every lender fee deductible. The 2008 regulations define the list, expanded from YA 2014 to amendment, front-end and back-end fees. Refinancing costs follow the same conditions as interest on refinancing prior borrowings. Before YA 2008 capital-account non-interest borrowing costs were generally not deductible.
All twelve deductible-cost categories
Annex 1 includes: guarantee fees buying preferential interest; bank-option fees fixing/corralling interest; zero/below-market bond/note discounts and redemption premiums on maturity/early redemption; prepayment/early-redemption fees compulsorily adjusting interest; extension fees compensating time value; increased costs as contractual upward interest adjustment; interest-cap premiums; interest-swap payments protecting against fluctuations; conversion/amendment fees converting the contractual rate to a lower rate; cancellation fees adjusting the lender’s interest return; and front-/back-end fees equivalent to otherwise payable interest. Each description limits the category; a service fee with a similar name does not automatically qualify. Convertible-debt discounts/premiums attributable to the debt component follow the linked FRS 39/109 guides.
Bilateral and club-loan front-end fees: four conditions
From YA 2023, a bilateral take-and-hold lender or small club lending group may have the full equivalent-to-interest front-end fee deducted. The loan must be drawn by the end of the fee-incurred basis period; an agreement signed within three months of year end extends this to the next financial year end. Claim in the YA of incurrence, not by amortisation. Documentation must not indicate signing-stage sell-down or underwriting. Remove service fees, including facility/security-agent and coordination fees. These conditions cover term loans and revolving facilities. Secondary-market transfer clauses after signing are not the prohibited signing-stage sell-down. Club loans involve direct borrower dealings and little/no arrangement, unlike a syndicated mandate.
Syndicated loans: default55% and service distinction
A syndicated arranger invites participating lenders and may underwrite a shortfall or act only on best efforts. Its front-end fee may blend interest and arrangement/underwriting services, while participation fees often pay pure lenders only for funds. As a compliance proxy, IRAS allows 55% of syndicated front-end fees from YA 2023. The drawdown, incurrence and no-service-in-claimed-amount conditions still apply, but the bilateral no-sell-down condition does not. The guide notes the percentage may be reviewed as banking practices evolve. Mandates with underwriting/final-hold commitments, bookrunner roles, clear-market clauses, syndication assistance or terms such as structuring, arranging and skim fees indicate syndication rather than a club loan. Skim fees broadly mean MLA service fees less participation fees to other lenders.
Claims above55% need evidence and a calculation
Show loan type, conditions and 55% treatment in the tax computation. A greater deduction requires documents showing the fee’s purpose and interest-equivalent amount, such as facility/fee agreements, correspondence, mandate and term sheet. If no explicit interest/service split exists, provide the participation-fee schedule, subscriptions and fees for pure lenders, plus the lead arranger’s written confirmation that they provided no services. The deductible percentage is [B+(B/C×D)]/A: A total front-end fee; B participation fees to pure lenders; C their loan subscriptions; D arranger subscriptions. C+D must equal total loan quantum. Lenders providing arranging/co-arranging/underwriting are not pure lenders. Include workings in the tax computation.
Discounts and redemption premiums are not yearly amortisation
A ten-year bond issued at 100 with a 2 redemption premium deducts that qualifying 2 when redeemed and incurred. An eight-year 100-face bond issued at 97 deducts its 3 discount at maturity when full face value is paid. FRS 39/109 effective-interest non-cash amortisation charged over the term for capital-purpose bonds is not deductible under this treatment; adjust tax computations. The rule concerns actual incurrence, not how accounting spreads the charge.
Remove pre-business, pre-YA2008 and non-income portions
Like interest, qualifying borrowing costs must exclude portions attributable to pre-commencement, pre-YA 2008 and non-income-producing assets, with TAM relevant to asset allocation. Discount/premium time apportionment is straight-line unless a better method exists. The example issues an eight-year 90-proceeds/100-redemption bond in January 2014, starts investment business January 2015 and matures December 2021: YA 2022 deduction is 10 minus the pre-business 1/8×10=1.25, or 8.75. Deductibility at redemption does not erase the earlier non-qualifying period.
Annex2: drawdown timing changes when to claim
For a December year end and April 2022 agreement, draw by 31 December 2022 to claim fees incurred in 2022 in YA 2023. For October 2022 signing within the last three months, draw by 31 December 2023. If drawn in March 2023 before filing YA 2023, the 2022 fee can be claimed then. If drawn only in December 2023 after filing, do not claim before the condition is met; after drawdown submit a revised YA 2023 tax computation. The extension does not shift the fee to a different incurred year.
Records and amendments
Claim in the return with brief reasons explaining interest substitution/reduction and keep contemporaneous documents for possible audit; routine attachments are not required. Club-loan evidence should establish actual club terms. The update history records 2014 list expansion,2019 refinancing/FRS 109 changes and 2023 front-end guidance, annex and procedures.
