Group Relief FAQ:75% Tests, Continuous Periods and Completing GR-A/GR-B

The2017 IRAS FAQ fully explained with all18questions, nine exclusions, original worked examples and four scanned form specimens, including pre- versus post-section37B amounts.

Source checked · 11 October 2026

Group relief and the2017 source

The FAQ updated16February2017 explains section37C group relief, effective fromYA2003: one eligible company transfers current-year unused capital allowances, trade losses and donations against another’s assessable income. Both must be Singapore-incorporated, satisfy the group tests and share an accounting year-end. Assessable income is the section37 amount after investment allowances under PartX of the Economic Expansion Incentives legislation. The source is a historical procedural guide, including YA2016/2017 examples and old forms, rather than a current blank form.

Direct, indirect and common-parent ownership

At least75% of ordinary share capital must be beneficially held directly or indirectly by the other company, or at least75% of each must be held by a third Singapore-incorporated company. Example1 has parent owning A100%,B70%, and C indirectly75%=(100%×40%)+(70%×50%). Parent–A, parent–C and A–C qualify; parent–B,A–B and B–C do not. An indirect economic percentage must be computed, not inferred merely from a subsidiary label.

Ordinary shares and the second economic test

The first test excludes shares carrying only fixed dividends by amount, percentage of nominal value or percentage of profits. The second requires at least75% beneficial entitlement to both residual distributable profits and residual assets on a notional winding-up. Equity holders include ordinary shareholders and non-commercial-loan creditors participating variably in profit. Residual profits deduct fixed dividends but are before non-fixed loan returns and ordinary dividends; residual assets follow payment of commercial lenders and non-ordinary shareholders. If residual profits or assets are zero/negative, use a notionalS$100. A fixed loan return can include a specified floating rate; variable profit participation makes a loan non-commercial for this test.

Example2:75% shares but only50% economic entitlement

X’sS$1,000 ordinary capital comprises A’s500 type1 and250 type2 shares and B’s200 type1 and50 type2 shares. Type2 carries8% fixed dividends plus participation. Z lendsS$500 at3% plus variable profit participation. A passes750/1,000=75% share ownership. ProfitS$100 is already after Z’sS$15 fixed return; subtract A/B fixed dividendsS$20/S$4 to leaveS$76. On the assumed1,500 total participation base, A receives38,B13,Z25 as rounded in the source. A’s residual-profit right is50%. Negative residual assets use notional100 and the same ratio, also50%; group relief fails the second test.

A continuous qualifying period must end at year-end

Ownership must remain at least75% throughout a continuous period ending on the basis-period’s last day. Example3’s75%,100%,80% changes all meet the requirement across1April2015–31March2016, allowing the whole-year eligible amount subject to claimant income. Falling below75% on31March2016 eliminates relief for the entireYA2017, even if earlier months qualified. For common-parent companies with differing periods, use the shorter qualifying continuous period.

Part-year relief and matching year-ends

Example4 changes90%→60%→79%→75%; the last uninterrupted period1November2015–31March2016 is152days. Using the source’s365-day denominator, S’s80,000 losses yield33,315 and P’s100,000 income41,644, so relief is33,315. Reproduce the stated formula as a source example rather than silently revising its denominator. Different year-ends do not qualify. In Example5, A changes December to March and prepares15-month accounts1January2015–31March2016. YA2017 basis periods are A1January–31March2016 and B1April2015–31March2016, so only their three-month overlap qualifies.

Eligible current-year amounts and Example6

Only current-year unabsorbed capital allowances, trade losses and donations transfer. In Example6, current adjusted trade loss100,000 and prior losses80,000 coexist with interest80,000, prior allowances70,000 and current allowances120,000. Interest less old allowances leaves10,000, then current allowances leave110,000 unused. The transferable items are100,000 current trade losses and110,000 current allowances, not the80,000 older losses.

Nine excluded categories and limited investment exceptions

No transfer of prior-year items, foreign-branch losses, investment allowances, losses from wholly exempt activities even if later locally offsettable, or ring-fenced allowances/losses such as section10D finance leases and10H car hiring. Losses under new-technology, technopreneur, overseas-investment and venture-capital incentives are excluded. For section10E companies, excess investment expenses/allowances not carryforwardable cannot transfer; only current industrial-building allowances(fromYA2007), land-intensification allowances and donations can. Dormant-company expenses are disregarded, with only current donations transferable. Passive investment-holding excess expenses are disregarded, with only current industrial-building/land-intensification allowances and donations transferable.

Mandatory category, tax-rate and company priorities

Transfer and claim capital allowances first, then trade losses, then donations. Within a category use higher-tax-rate items before lower-tax-rate items, with section37B adjustment where applicable; claim first against higher-rate income. Both transferors naming multiple claimants and claimants naming multiple transferors must elect an irrevocable priority order and exhaust the first before proceeding. Unused balance stays with the transferor for future relief subject to statutory conditions, including shareholding tests and the maximum five-YA donation carryforward.

Examples7 and8 show both priority directions

Example7 gives A income2,000 and B3,000, prioritising A. Transferor losses4,000 allocate2,000/2,000 and leave B income1,000; losses1,000 allocate1,000/0 and leave A1,000,B3,000; losses6,000 allocate2,000/3,000 with1,000 retained and both claimants zero. Example8 gives the claimant income100,000 and prioritises X before Y. X losses50,000 and Y60,000 use50,000/50,000, retain Y10,000 and claimant zero. X120,000/Y60,000 use100,000/0, retain20,000/60,000 and claimant zero. X30,000/Y60,000 use30,000/60,000, retain neither and claimant income10,000.

Forms, original elections and an assessment exception

Transferor files GR-A and claimant GR-B with their respective income-tax returns; omission of forms or returns prevents relief for thatYA. New/additional forms after FormC are normally not allowed. The exception is an assessment changing profit to loss or vice versa: the source allows30days for notices dated before1January2014 and two months for notices from that date. Example9 has B’s loss revised to profit on10January2015; A adds B as fourth claimant after C1,C2,C3 and B files a new GR-B, both within two months. Existing elected priorities are preserved.

New companies with first accounts longer than12months

Apportion losses or income to eachYA before determining relief. Example first accounts1June2015–31December2016 splitYA2016(June–December2015) andYA2017(calendar2016). By the example’s30November2017 deadline, the new company submitsYA2017 return, full first financial accounts, bothYA computations and applicable GR-A/GR-B for one or bothYAs. ForYA2016 only, transfer is limited toYA2016 losses or claim toYA2016 income; the counterparty submits its matchingYA2016 form and revised computation at the same time as the new company’sYA2017 filing. ForYA2017 only, use thatYA’s amounts and form with the documents. For both, the new company files two relevant forms; counterparties provideYA2016 form/revision concurrently andYA2017 form with theirYA2017 returns.

Full worked example: periods and tax-rate adjustment

P acquires75% of A on1April2016 and90% of B on1July2016; all end31December. P–A qualifies275days, P–B184days and A–B the shorter184days. P income7,000 and B40,000 are at17%. A allowances are1,000 at5%,2,000 at10%,3,000 at17%; losses4,000,5,000,6,000 respectively. Section37B factors5/17 and10/17 give adjusted allowances294,1,176,3,000(total4,470) and losses1,176,2,941,6,000(total10,117), together14,587. These are the source’s stated rounded values.

Complete allocation to P, B and A’s carryforward

P’s limit is the lower of275/365×14,587=10,990 and275/365×7,000=5,274, so it claims5,274: allowances3,000+1,176+294 and17% losses804. P chargeable income becomes1,726. B’s loss-side limit is184/365×14,587 minus P’s5,274=2,079, below its income-side20,164; B claims17% losses2,079 and has chargeable income37,921. A uses all original allowances6,000 and original losses804+2,079; remaining losses by5%/10%/17% category are4,000/5,000/3,117,total12,117. The example consistently prints365 as its denominator; retain its historical calculation instead of silently altering it.

Reading the scanned GR-A specimen

The rendered transferor form hasYA, company name/tax reference and total original loss items transferred8,883. It declares maintained75% ownership, complete information and retention of shareholding calculations, with checks addressing dormancy, investment-holding excess losses and restricted section10E transfers. Sign with name, capacity, contact and date. Part3 lists claimants in priority, names/references, six amount categories(CA/loss/donation split normal and concessionary rates) and qualifying start/end dates. P shows normal CA3,000, concessionary CA3,000 and normal losses804 from1April–31December2016; B shows normal loss2,079 from1July–31December. Forms use amounts before section37B adjustment: the8,883 form total is not the7,353 adjusted claims. The old GR-A provides five claimant slots, requiring separate forms beyond five.

Reading both scanned GR-B specimens

Each claimant specimen hasYA, claimant name/tax reference, declaration and signatory details. Its priority list records transferor name/reference and continuous-period dates, rather than the GR-A’s six amount boxes. P lists A from1April–31December2016; B lists A from1July–31December2016. Retain shareholding calculations for IRAS requests. The old GR-B holds seven transferors and requires separate forms beyond seven. All four scanned specimen pages were checked: use their structure to understand the source, while obtaining the official applicable form for an actual election.
