The eight-page guide describes an administrative facility for one GST-registered person operating independent divisions or businesses. All or selected divisions can receive their own GST numbers and submit separate returns; they do not become separate taxable persons.

All four qualifying conditions

Be GST registered, have difficulty filing one consolidated return, maintain genuinely separate records and independent division accounts before consolidation, and identify divisions by different activity or location. Divisions need not sell different products if their locations distinguish them. Paragraphs 3.1 and 3.2 carry legal force; IRAS can impose additional requirements.

Mixed taxable and exempt supplies

Registration requires full input-tax recovery, including input attributable to exempt supplies. The routes are regulation 28 de minimis; only regulation 33 exempt supplies while not a regulation 34 business; or non-regulation-33 exempt supplies meeting regulation 35 while not regulation 34. Apply the separate partial-exemption guide to test the route.

Invoices, records and shared legal liability

Use each division’s new name/number on tax invoices, keep its GST records and file within statutory deadlines. The parent remains responsible for all tax/penalties. IRAS can retain one division’s refund to discharge another’s tax or penalty. Separate filing is not a liability shield.

Internal supplies and GST schemes

Transfers/supplies and expense allocations within the same entity are disregarded; external supplies remain taxable where applicable. MES or IGDS qualification is tested for the entire person including all divisions, not one division alone.

Apply or change the arrangement

GST F11 requires the entity’s GST number/UEN and an explanation of why consolidation would prevent timely filing. A not-yet-registered applicant submits F1 and F11 together. F12 adds/removes divisions or ends divisional registration. The guide directs applicants to GST registration/deregistration forms on IRAS.

Minimum period, loss of eligibility and group registration

Remain separately registered for at least two years unless IRAS sets a shorter period. Notify IRAS immediately when a condition ceases. IRAS can cancel by written notice for failed conditions or revenue protection, effective on cancellation or an agreed later date. Group and divisional registration cannot coexist: one consolidates different group members, the other separates divisions of one entity.
