What this classification decides
The one-page list, updated on 30 October 2025, classifies specified foreign structures as companies or partnerships for Singapore income-tax purposes. It is not a list of every foreign legal form and does not itself determine residency, treaty entitlement or the tax rate. Similar abbreviations in different jurisdictions are not interchangeable.
Structures classified as companies
The list treats the Cayman Islands Segregated Portfolio Company (SPC), Guernsey Incorporated Cell Company (ICC), and Guernsey Limited Company (LC) as companies. Luxembourg Société Anonyme (SA) and Société en Commandite par Actions (SCA), and the Netherlands Besloten Vennootschap met beperkte aansprakelijkheid (BV), are also classified as companies.
Structures classified as partnerships
Germany’s Kommandit Gesellschaft (KG), India’s Limited Liability Partnership (LLP), and Japan’s Tokumei Kumiai (TK) are partnerships in this Singapore classification. Luxembourg Société en Commandite Simple (SCS) and Société en Commandite par Speciale (SCSp), and the Netherlands Commanditaire Venootschap (CV), are also partnerships. Limited liability in an entity name does not, by itself, make its classification a company.
The US LLC qualification
A United States Limited Liability Company (LLC) is classified as a company unless it can substantiate, using its LLC agreement, that it should be classified as a partnership. The qualification is evidence-based; an LLC’s name or a bare assertion of partnership treatment is insufficient to establish the listed exception. Check the actual agreement and jurisdiction against the dated list.
