The agreement and its effective date

This forty-five-page agreement was signed on 13 November 2018 and became effective on 1 January 2021. It replaces the nonreciprocal agreement signed on 9 December 2014. It provides for automatic exchange under the bilateral tax-information agreement, with ten articles and two detailed annexes. Historical review deadlines remain part of the original text; they are not new deadlines for an account opened today.

Financial institutions and their territorial scope

The four institution categories are depository, custodial, investment and specified insurance institutions. A custodial institution generally derives at least twenty percent of gross income from holding financial assets and related services, measured over the shorter of three years or its existence. Investment entities include customer trading, portfolio management and managed investment businesses. Singapore institutions exclude overseas branches, while Singapore branches of foreign institutions are included. The US definition similarly distinguishes domestic and overseas branches.

Financial accounts and account holders

Financial accounts include deposits, custody, relevant investment-entity equity/debt interests, cash-value insurance and annuities. The insurance definition uses cash value exceeding US$50,000; specified immediate pension annuities are excluded. Exchange trading must genuinely be regular; merely recording an interest in the institution’s books is insufficient. An agent, nominee, custodian or intermediary is generally not the beneficial account holder. Controlling persons are natural persons exercising control; trusts include settlors, trustees, protectors, beneficiaries and other ultimate controllers.

Which persons and entities are reportable

Singapore reports specified US persons and passive nonfinancial foreign entities with specified US controlling persons. Specified-US-person exclusions cover listed companies and their relevant affiliates, government bodies, tax-exempt organisations, banks, REITs, regulated investment companies/common trust funds, charitable trusts, dealers, brokers and specified retirement trusts. Related entities generally involve more than fifty percent control. A US reportable account for reciprocal reporting is defined differently: a deposit held by a Singapore-resident individual with annual interest over US$10, or a nondeposit account of a Singapore-resident person receiving specified US-source reportable income.

Singapore’s reporting fields

For each US reportable account, Singapore obtains and exchanges the holder’s name, address and US TIN; passive-entity details and relevant US controllers; account number; institution name and identifying number; and year-end value or value immediately before closure. Custodial accounts additionally report gross interest, dividends, other asset income and gross sale/redemption proceeds. Deposit accounts report gross interest; other accounts report relevant gross amounts paid or credited, including redemption payments.

Reciprocal US fields and exchange arrangements

US reporting includes the Singapore resident’s name, address and Singapore TIN, account and institution identifiers, gross deposit interest, US-source dividends and other reportable US-source income. It does not impose the same account-balance field as Singapore’s reporting obligation. Article 6 commits to progressively equivalent reciprocity rather than making the two current lists identical. Identify the reporting currency and exchange annually within nine months after year-end. Competent-authority arrangements address implementation, errors and safeguards; confidentiality and permitted-use restrictions follow the underlying tax-information agreement.

Compliant institutions, withholding and restricted branches

A reporting Singapore institution avoids FATCA section 1471 withholding by satisfying reporting and applicable IRS registration requirements. Qualified intermediaries and specified withholding entities must withhold thirty percent on relevant US-source withholdable payments to nonparticipating institutions; other intermediaries transmit the necessary payment information. The agreement does not require withholding on, or closing, recalcitrant accounts where the required information is exchanged. A legally restricted foreign branch/affiliate must be separately identified as nonparticipating, report to the extent permitted and refrain from soliciting prohibited accounts or facilitating circumvention.

Errors, significant noncompliance and outsourcing

Minor administrative errors are corrected through the competent authorities and local enforcement. If significant noncompliance by a Singapore institution remains unresolved eighteen months after notification, the US may treat it as a nonparticipating institution. Third-party reporting or due diligence does not transfer the institution’s ultimate responsibility. Antiavoidance measures prevent arrangements intended to defeat the agreement. More favourable treatment offered to another comparable partner under Article 4 or Annex I generally applies automatically from that agreement’s signature unless Singapore declines it in writing.

Consultation, amendments and termination

The authorities may consult and amend the agreement in writing, following the relevant entry-into-force procedures. Annexes are integral to it. Earlier-period information remains subject to the previous agreement’s specified rights and confidentiality provisions. Termination takes effect on the first day of the month following twelve months after written notice. The original commitment to consult before 31 December 2018 is historical, not a future implementation date.

Annex I: determination date and general method

Singapore’s determination date is 30 June 2014, although the reciprocal agreement became effective later. Thresholds are in US dollars; apply account aggregation and currency conversion. Classification generally uses year-end balances and changes in circumstances. A clearly identified account group may use an allowed alternative US Treasury procedure where Singapore permits it. Previously reportable accounts usually remain reportable until the holder is no longer a US person, subject to the deposit-account exception.

Preexisting individuals: exclusions and lower-value accounts

Unless the institution elects review, existing individual accounts at or below US$50,000 and cash-value insurance/annuities at or below US$250,000 on the determination date are excluded, as are insurance contracts legally unavailable to US residents. Deposit accounts at or below US$50,000 also have an ongoing exclusion. Lower-value accounts above the relevant threshold and not exceeding US$1 million undergo electronic US-indicia searches: US citizenship/residence, birthplace, mailing/residential address, telephone numbers, standing transfers, power of attorney/signatory with a US address, and sole care-of/hold-mail addresses. The latter do not alone establish US indicia for lower-value accounts.

Resolving US indicia and lower-value deadlines

A US birthplace requires non-US self-certification, non-US passport/identity evidence and a certificate of loss of nationality or reasonable explanation. A US address, sole US telephone number or standing US transfer generally requires both self-certification and documentary evidence. Certain power-of-attorney, care-of or mixed telephone cases may be resolved with either specified certification or evidence. Complete initial lower-value review within two years of the determination date; thereafter monitor changed circumstances and entry into the high-value category.

High-value individual accounts

Accounts exceeding US$1 million require enhanced electronic and, where necessary, paper searches covering current master data and the preceding five years’ documents. Paper review is unnecessary where searchable systems capture all six required categories. A relationship manager’s actual knowledge of US status applies independently. Initial review is due within one year of the determination date; an account becoming high-value later generally requires review within six months after the relevant year-end. Do not repeat a completed paper review annually, but continue relationship-manager enquiries and change monitoring. Existing qualifying intermediary documentation may remove specified searches, not the manager-knowledge requirement.

New individual accounts

New deposit and cash-value insurance accounts not exceeding US$50,000 at year-end may be excluded unless review is elected. Other new accounts require an opening self-certification establishing tax residence, checked for reasonableness against onboarding and AML/KYC information. Where an excluded account later ceases to qualify, obtain the required certification within ninety days after year-end. US citizenship is relevant even where the person also resides elsewhere. US status requires a US TIN; invalidated certification must be replaced or the account treated as reportable under the applicable rules.

Preexisting entities: thresholds and classification

An existing entity account at or below US$250,000 on the determination date may be excluded until its year-end value exceeds US$1 million. Review accounts above US$250,000 within two years; newly crossing the US$1 million threshold requires review within six months after year-end. Determine US-person status from incorporation/address and KYC evidence, then distinguish financial institutions and active/passive NFFEs. Partner-jurisdiction institutions and GIIN-verified participating/deemed-compliant institutions generally are not US reportable account holders; nonparticipating-FI status is a separate classification.

Passive entities and new entity accounts

Identify passive-entity controllers using AML/KYC records. Existing accounts up to US$1 million may use those records to establish controllers’ US status; higher balances require self-certification. New passive-entity accounts require controller self-certification irrespective of that old-account threshold. New credit-card/revolving accounts can be excluded only with procedures preventing credit balances above US$50,000. Other new entities require classification and, unless reliable public/held information establishes an allowed status, self-certification. Accounts opened after 30 June 2014 but before 1 January 2015 may use the permitted existing-entity method without its US$250,000 exemption.

All ten active-NFFE routes

Active status includes income and assets each below fifty percent passive; listed companies and their related entities; qualifying US-territory entities; governments/international bodies/central banks; nonfinancial subsidiary holding/service businesses excluding investment funds; genuine nonfinancial startups for up to twenty-four months; nonfinancial liquidation/reorganisation where the entity was not an FI in the previous five years; financing/hedging solely for nonfinancial related-group entities; US-regulation excepted NFFEs; and qualifying nonprofits. Nonprofits must satisfy permitted purposes, tax exemption, no private proprietary interest, restrictions on private distributions and an appropriate public/nonprofit destination of assets on dissolution.

Aggregation, currency and reliable evidence

Aggregate linked accounts of an institution and related entities where systems permit; allocate the full joint-account balance to each holder. Relationship managers also aggregate accounts known to be controlled by the same person outside a fiduciary capacity. Convert dollar thresholds using the published spot rate at the previous calendar year-end. Acceptable evidence includes government tax-residence certificates, individual identity documents, entity incorporation/address records, qualifying QI documents, financial statements, third-party credit reports, bankruptcy filings and SEC reports. Never rely on evidence known or reasonably suspected to be unreliable. Death-benefit insurance beneficiaries may be presumed non-US only absent contrary knowledge/indicia; permitted third-party due diligence remains subject to the governing conditions.

Annex II: governments, international organisations and central banks

Exempt beneficial owners include qualifying government bodies, international organisations with the necessary headquarters arrangement and central banks. Controlled government entities must be wholly owned/controlled, direct earnings to themselves or government and return assets to government on dissolution. Public-welfare benefits are distinguished from private commercial banking benefits. The exclusion does not automatically cover payments arising from commercial custodial, deposit or specified-insurance activities. Annex II may be changed by a written mutual authority decision where risk characteristics justify additions or removals.

Exempt retirement funds and wholly owned investment entities

Broad-participation retirement funds require no beneficiary above five percent of assets, regulation and annual beneficiary reporting, plus at least one condition: investment-income exemption; at least fifty percent employer contributions; retirement/disability/death restrictions or penalties; or income-related/US$50,000 annual employee contributions. Narrow funds require fewer than fifty participants, noninvestment/nonpassive sponsors, earnings-linked contributions, nonresident entitlements no greater than twenty percent and regulation/reporting. Exempt-owner pension funds also qualify. An investment entity wholly owned by exempt owners qualifies only where direct equity holders are exempt owners and direct debt holders are exempt owners or deposit-taking lenders.

Local-client institutions: all ten conditions

A local-client institution must be Singapore licensed, have no foreign fixed business location beyond unadvertised administration, not target overseas clients, identify resident holders under local rules, and have at least ninety-eight percent of account value held by Singapore residents. It needs monitoring policies from the later of 1 July 2014 or claiming status, and must report or close prohibited nonresident-US/passive-controller accounts. Review relevant existing nonresident/entity accounts, require Singapore-related FIs to satisfy the same conditions except qualifying pension funds, and do not discriminate against Singapore-resident US persons. An ordinary website or incidental overseas circulation of local advertising is not by itself overseas solicitation.

Local banks, low-value institutions and credit-card issuers

A local bank/qualifying nonprofit credit union primarily serves unrelated retail borrowers/depositors or members, with no cooperative member above five percent. It must satisfy local-location/no-solicitation conditions and not allow website account opening; institution assets cannot exceed US$175 million and group assets US$500 million. A noninvestment low-value institution permits no account above US$50,000 and caps institution/group assets at US$50 million. A credit-card-only institution must prevent overpayments above US$50,000 or refund them within sixty days; disputed charges are excluded from this deposit measure, merchandise-return credits are included.

Trustee-documented and sponsored investment entities

A Singapore trust qualifies where an eligible reporting/participating trustee reports all required US accounts. Sponsored investment entities must not be QIs or withholding foreign partnerships/trusts. A sponsored controlled foreign corporation must be wholly owned by a reporting US FI, share an accessible electronic account system and meet the annex’s CFC definition. Sponsors need authority, IRS registration, all diligence/withholding/reporting duties, FI identification in reports and no revoked status. Register an FI with a US account by the later of 31 December 2016 or ninety days after first identification. The CFC footnote uses over fifty percent vote/value ownership and a ten-percent voting US-shareholder definition in this source.

Closely held vehicles, advisers and collective investment vehicles

Closely held sponsored vehicles cannot market to unrelated parties and are limited to twenty individual owners after specified disregards. Their eligible sponsor registers, performs required duties, identifies the vehicle and retains documentation for six years. Advisers/managers qualify where customer assets remain with another FI that is not a nonparticipating institution. Regulated collective vehicles require permitted investors, including relevant debt above US$50,000. Special rules prevent duplicate reporting where another entity reports all required information. Legacy bearer shares require no issues after 31 December 2012, retirement on surrender, diligence/reporting on payment, and redemption or immobilisation before 1 January 2017.

Excluded savings, CPF and insurance accounts

Retirement accounts need regulation, tax preference, annual reporting and retirement/disability/death withdrawal conditions or penalties, plus annual contributions no more than US$50,000 or lifetime no more than US$1 million. Other purpose-based savings need regulation, tax preference/state subsidy, qualifying-purpose withdrawal conditions and annual US$50,000 limits. Singapore Child Development Accounts and qualifying CPF investment accounts are expressly addressed; CPF proceeds/principal return to CPF savings and remain subject to retirement conditions. Term life coverage must end before age ninety, have nondecreasing at-least-annual premiums, no accessible value without termination, limited cancellation value and no transfer for value.

Estates, escrow, partner accounts and final definitions

Estate accounts require a will or death certificate. Escrow exclusions cover court orders, tightly conditioned property sale/exchange/lease deposits, property-loan tax/insurance reserves and FI tax-payment reserves. Property escrow must secure the transaction, release assets to relevant parties, and not be a financial-asset margin or credit-card account. A partner-jurisdiction exclusion requires equivalent requirements and oversight. The final definitions distinguish Model 1 reporting through government exchange from Model 2 participating institutions reporting directly to the IRS, with supplemental authority exchange.
