Property Sale and GST Registration: Advance Ruling 01/2022

Why the sale of a fifty-year investment property was excluded from this applicant’s registration turnover.

Source checked · 11 October 2026 Advance ruling · case-specific

The question and facts

The two-page GST Advance Ruling 01/2022 considers a non-registered company selling a non-residential property in 2021. It bought it over fifty years earlier for its operating business, wound down operations in the 1990s, then held the property as its sole investment business for rental income and/or capital appreciation. Its other annual taxable supplies did not exceed S$1 million and it had made no other property sale.

The capital-asset exclusion

The summary describes retrospective registration where calendar-year Singapore taxable supplies exceed S$1 million and prospective registration where the next twelve months are reasonably expected to exceed that threshold. Paragraph 1C(2) excludes business capital-asset supplies from the registration-turnover computation. An exclusion from this computation is not a general declaration that every commercial-property sale is an exempt supply.

Decision and the three reasons

IRAS regarded the sale as disposal of a capital asset, excluded its value, and concluded no registration was required because other taxable supplies did not cross the threshold. It relied on the very long holding period inconsistent with speculative acquisition, rental/capital-appreciation purpose and investment-property accounting since the 1990s, and absence of other property sales. The factors are considered together; an accounting label alone is not a universal capital-asset test.

How far the ruling can be used

The ruling binds only this applicant and specified transaction. IRAS is not bound to extend it to a similar sale and does not update published summaries for later law or interpretation. A reader comparing another property should document acquisition purpose, actual use, holding history, accounting and transaction pattern, and separately test other taxable turnover. The article explains the complete summary without adding an unspecified sale price or presumed tax exemption.
