Illustrative GST Ruling: REIT Management Fees Settled in Units

The illustrative two-page summary explains when an arm’s-length cash fee can represent the market value of management services paid in REIT units.

Source checked · 11 October 2026

An illustrative document, not an identified dated ruling

The source uses placeholder ruling number XX/YYYY and publication DD MMM YYYY. Treat it as an illustrative advance-ruling summary rather than assigning an invented ruling number or publication date. Its issue is valuation of property-management services paid in REIT units, not a ruling that the units themselves are the taxable service.

Facts and agreed fee

A GST-registered REIT appoints a manager for strategic direction and acquisition, disposal, development/enhancement recommendations. Payment can be cash, units or both. Trustee and manager agree the cash fee computation and benchmark it to market prices and comparable unrelated-party arrangements. The manager is not connected with the REIT/trustee. Those facts support the outcome and should not be removed when applying the example.

Section 17 and the valuation conclusion

Section 17(3) uses open market value where consideration is absent or not wholly money. Section 17(5) tests the monetary equivalent payable by a person without a relationship affecting consideration. Given independence and benchmarking, the service paid in units can be valued at the agreed cash fee, rather than the market value of the units used to settle it. This conclusion depends on the service’s supported arm’s-length value, not on any universal exemption for non-cash payment.

Trustee connections and the limit of a ruling

The note links trustee connections to the settlor, persons connected with that individual and a corporate body connected with the settlement under the Third Schedule. A published advance-ruling summary binds only the applicant and specified transaction; similar transactions do not compel identical treatment. IRAS does not update published rulings for later law/interpretation changes. The source supplies no GST rate, numerical example or confirmation that a particular reader’s manager is unconnected.
