Facts of the two-page ruling
GST Advance Ruling 01/2026 concerns an investment-holding and rental company not registered for GST. It intended to sell non-residential properties A, B and C bought more than thirty years earlier and rented throughout ownership. Other annual taxable supplies did not exceed S$1 million, there was no recurring property trading and no earlier property sales since incorporation. The company intended to apply for striking off after disposing of all three.
Capital assets and the outcome
The ruling excludes the three disposals under the First Schedule’s capital-asset exclusion and concludes this applicant need not register because its other taxable supplies remain below S$1 million. The reasons are rental/capital-appreciation holding purpose, very long ownership inconsistent with speculative trading, and no other sales. The intended closure is part of the facts, not a separate blanket exemption for every pre-closure property sale.
A published retrospective-rule inconsistency
The PDF’s legislative summary describes a quarterly rolling retrospective test. The current IRAS registration webpage instead states the calendar-year test, with application between 1 and 30 January and registration on 1 March of the following year. This article therefore flags that inconsistency rather than presenting the PDF wording as the current general registration method. The capital-asset decision is reported on its own stated facts. The current official registration webpage is retained as a supplementary source.
Specific effect and practical evidence
The summary binds only the applicant’s transaction and is not automatically extended or updated. Another seller should support acquisition purpose, rental use, long-term ownership, lack or presence of trading, and separate non-capital turnover. Excluding capital proceeds from a registration threshold is different from deciding GST on a sale made by a person already registered. No automatic sale exemption or current quarterly-registration instruction is inferred here.
